    卫星在轨寿命保险条款

     

    第一部分  保单声明

    一、被保险人

     

    (以下称“被保险人”)。

    二、   被保险人地址

     

    三、保险期间

    自被保险人所在地标准时间    年    月    日00:00起至    年    月    日24:00止本保单有效(以下称“保险期间”)。

    四、受益人

    本保险单项下的受益人指被保险人或被保险人指定的有权向保险人请求取得保险金的第三方。

    五、保险金额

    本保单项下对损失赔付的最高金额为    元(以下称“保险金额”)。

    六、风险起期

    本保单项下损失风险的保障从保险期间开始时起期(以下称“风险起期”)。

    七、风险终止

    本保单项下损失风险的保障应在下列情况之一发生时终止,以先发生者为准(以下称“风险终止”):

    (一)   保险人认可卫星发生全部损失时;或

    (二)   本保单项下保险人同意的赔偿金额累计达到保险金额时;或

    (三)   保险期间结束时。

    八、保险费

    鉴于本保险单项下的保障范围,被保险人应向保险人支付   元(以下简称“保险费”),保险费应按照本部分第五条规定的保险金额乘以保险费率    %计算。

    保险费应在风险起期之前支付给保险人。风险起期之时,保险费即应视为已由保险人完全拥有。

    九、余量

    如果在风险起期之前被保险人提供的最终燃料预算显示,基于对运载火箭和卫星性能的不确定性和/或轨道偏移的最坏情况分析(以3倍标准差计算),卫星的预计燃料寿命相比其额定服务寿命的余量少于1年,则卫星的额定服务寿命应相应减少,以满足卫星在预计燃料寿命末期保持1年燃料余量的要求。

    基于对卫星在上述最终调整的额定服务寿命期间运行性能的最坏情况分析,如果在风险起期之前被保险人提供的最终电能预算显示,卫星不能在整个额定服务寿命期间始终保持至少7.5%的电能余量,则卫星额定通信能力应相应减少,以使卫星在额定服务寿命末期和此前的任何时期仍能保持7.5%的电能余量。

     

    第二部分 保险协议

    一、基于被保险人已交付保险费,依据保单声明和全部的承保信息,并以本保单项下全部保险条款规定为准,被保险人和保险人同意:

    (一)如果在风险起期至风险终止期间卫星发生全部损失,则按照保险金额赔偿被保险人。

    (二)如果在风险起期至风险终止期间卫星发生推定全损,则按照保险金额赔偿被保险人。

    (三)如果在风险起期至风险终止期间卫星发生部分损失,则按照部分损失金额赔偿被保险人。

    二、如果发生全部损失或者部分损失后,通过增加地面设备,改变操作程序,改进软件和/或采取其它任何措施(修正措施)可以在合理的时间内消除或弥补已经发生的损失,则保险人在与被保险人协商后,有权选择如下两种方式之一进行赔偿:

    (一)根据上述几项规定的方式赔偿被保险人;或

    (二)承担被保险人因采取修正措施而产生的所有必要费用。

    如果保险人选择了采取修正措施的方案,但却没有达到令人满意的故障修正或损失弥补的效果,则在保险金额之上,或者部分损失时在部分损失赔款之上,保险人还应承担采取修正措施而发生的必要的成本和费用。

    三、如果卫星发生损失、损坏,或失效,而无法应用损失金额的规定计算,被保险人可使用其他方法计算损失金额,但必须在损失证明中清楚说明使用其他计算方法的必要性,以及卫星无法达到卫星性能规范要求且无法实现其预定通信目的。使用其他计算方法计算损失时同样适用余量和保单其他条款条件限制。

    四、如果被保险人先前已经在本保单下就卫星的损失获得过赔偿,则对于卫星后续损失的赔偿应相应调整以避免重复赔偿。

    五、如果被保险人可以在多种模式下运行卫星, 则用以计算索赔损失所依据的运行模式应当是使赔偿金额最小化对应的模式。被保险人有权按照其他不同的模式实际运行卫星,而非限于保险理赔计算所采用的运行模式。

    六、本保单项下的赔付总额不应超过保险金额。

    七、本保单不负责因全部损失或者部分损失而提出的索赔,除非导致全部损失或者部分损失索赔的损失、损坏或失效事件能够被遥测数据证明,或遥测数据缺失,或可通过其它任何地面措施等证明,并且这些数据或措施均记录于风险起期至风险终止期间,同时被保险人已履行本保单所有条款条件规定。

    八、如果发生下述情形:

    (一)在风险起期至风险终止期间卫星发生部分损失、推定全损和部分损失;且

    (二)卫星性能在风险终止后将继续退化;且

    (三)被保险人证明卫星性能退化是由导致损失的事件引起,则

    计算损失金额时应考虑卫星性能退化的因素。

     

    第三部分 定义

    一、推定全损

    推定全损指卫星发生损失、损毁或失效,且:

    (一)   %以上的转发器在风险起期至风险终止期间为转发器失效,或

    (二)卫星的可用通信能力小于额定通信能力的   %。

    二、合同

    “合同”是指         与        在   年  月  日签署的合同(合同号      ),以及在保险期间开始前做出的、经保险人事先同意的合同修改。其他后续的修订或修改也应事先征得保险人的同意。

    三、额定服务寿命

    “额定服务寿命”是指为卫星投保的任务寿命(以年计算),即从最终验收或起飞后60日(以先发生者为准)起计算共    年。

    四、部分损失

    “部分损失”是指卫星的任何损失、损坏或失效导致卫星的有效通信能力低于额定通信能力,但不构成全部损失。

    五、卫星性能规范

    “卫星性能规范”是指合同附件《卫星性能规范》中对技术指标的规定。

    六、预计燃料寿命

    “预计燃料寿命”是指以年或年分数为单位计量的一段期间,在此期间内,经测算星上燃料可以使卫星保持在其轨道位置,并使卫星保持卫星性能规范所要求的姿态。

    七、卫星

    “卫星”是指根据合同专门生产和交付的基于  平台的  卫星。

    八、全部损失

    “全部损失”是指卫星完全损失、损坏或失效。

    九、转发器

    “转发器”是指通过卫星进行转发的唯一路径,包括接收天线、滤波器、接收机/下行变频器、输入/输出多工器、功率放大器、发射天线和其他相关设备。

    十、转发器年

    “转发器年”是指,对于每个转发器而言,以年或年分数为单位计算的、一个转发器作为可用转发器的时间。

    任一转发器的转发器年数应是下列时间数中最短的一个:

    (一)卫星的额定服务寿命;或

    (二)卫星的预计燃料寿命;或

    (三)转发器满足可用转发器技术指标要求的时间长度。

    十一、额定通信能力(NCC)

    “额定通信能力”是指根据卫星     MHz C频段转发器和   年额定服务寿命的设计,卫星所能达到的名义上的转发器年数。据此计算,卫星的额定通信能力为   个转发器年。

    十二、有效通信能力(ECC)

    “有效通信能力”是指卫星上每一个转发器根据其作为或预计可作为一个可用转发器工作的期间而计算的实际转发器年的总和。

    如果在风险起期和风险终止期间发生卫星损失、损坏或失效导致某个转发器工作状态在额定服务寿命期间内发生变化,并且这种变化将导致这个转发器在权重数值上发生变化,那么在状态变化首次发生日之前和之后的期间,应分别适用相应的权重。

    下述表格将被用以评估所有转发器的权重:

     

    十三、部分损失金额

    “部分损失金额”按照以下方式计算:

    部分损失额 = (1-(ECC/NCC))*保险金额

    "ECC" 表示有效通信能力

    "NCC" 表示额定通信能力

    十四、承保信息

    承保信息是指被保险人或其代表向保险人提供的、关于本保单保险标的的书面资料。

     

    第四部分  保险条件

    一、委付

    被保险人不得将卫星或卫星的任何部分委付给保险人,除非保险人书面同意。

    二、获取技术信息

    在满足本部分第二十四条的规定的前提下,如果保险人书面要求,被保险人应提供与本保单项下损失风险或确定损失相关的所有可以得到的设计、测试、质量控制、发射、轨道方面的信息。

    根据本部分第三条的规定,出险通知一经发出,应保险人要求,被保险人应

    (一)组织评审会,和保险人一起讨论任何与出险通知事件相关的问题;并且

    (二)尽全部合理可行的努力确保保险人获取相关信息,包括在对故障原因或损失影响的调查或评审中使用的所有相关信息;

    (三)使保险人能够检查并复制所有确定损失或验证返还赔款或残值的计算方法所需的全部资料。

    对于保险人根据本保险条件所要求的受限于被保险人与其承包商合同中规定的保密协议或专有信息的任何资料,被保险人应尽全部合理可行的努力获得符合保险人要求的信息资料。如果适用的话,就保密协议、专有资料而言,保险人应承担相似的保密义务。

    如果被保险人意识到卫星在风险起期后失去了部分冗余或余量,被保险人应尽快通知保险人。

    三、起诉保险人

    被保险人不可起诉保险人,或要求仲裁,除非被保险人已经履行了本保单的所有规定,并且

    (一)被保险人已按本部分第十六条的规定提供损失证明超过60日且该损失证明已被拒绝;或

    (二)保险人根据保单规定应当对损失证明做出反应的时间已经过期;两者以先发生者为准。

    四、仲裁

    如果本保单项下产生任何争议,被保险人和保险人应通过友好协商解决。如果在一方要求另外一方进行协商后的30日内,双方就争议问题仍未能达成一致,那么任何一方均可根据本部分保险条件第十三条指定的法律提交位于       仲裁委员会按照该会仲裁规则仲裁。仲裁语言应当为    。

    在组成仲裁厅的3名仲裁员中,各方各指定一名仲裁员,第三名仲裁员由已选定的2名仲裁员指定。

    仲裁裁决为终局性的,对双方均有约束力。双方任何一方可申请具有管辖权的法院执行该裁决。

    五、权益转让

    保险人不受本保单项下任何权益转让的约束,除非在此转让之前,被保险人得到了保险人的书面认可。如无合理理由,保险人不应当拒绝提供该书面认可。

    六、注销

    如果被保险人未缴纳保险费,保险人可注销本保单。如果被保险人未按期缴纳保险费,为了使注销生效,保险人应向被保险人发出书面注销通知,声明在15日内保单将被注销。如果被保险人在上述通知期限内缴纳了全部到期应付的保险费,保险人已发出的注销通知的效力即行终止。

    除上述情况外,只有被保险人与保险人双方达成书面协议,本保单才可被注销。

    七、保单变更

    任何代理人或自然人所得到的通知或所拥有的信息,均不能造成本保单任何部分的放弃或变更,也不能阻止保险人主张本保单项下的任何权利。只有被保险人和保险人达成协议,才可放弃或变更本保单的条款,并且要以双方同意签发的、作为本保单不可分割部分的批单为证。

    八、承保信息变更

    如果被保险人:

    (一)变更、修订或修改了合同和/或发射服务协议,或

    (二)意识到提供给保险人的承保信息发生了任何变化;或

    (三)意识到与卫星和运载火箭有关的事实或信息发生了变化;

    则被保险人应立即将上述变更、修订、修改、事实和/或信息通知保险人。

    如果以保险人合理的观点认为,上述变更、修订、修改、事实和/或信息使本保单项下的损失风险产生实质性增加或者对保单下可保利益构成实质性影响,保险人应在得到通知后的30日内通知被保险人。在这种情况下,保险人有权与被保险人一起重新审查保单条款,并就受影响的保单条款部分重新谈判。

    除非经过上述重新谈判后,保险人同意为上述变更、修订、修改、事实和/或信息继续提供保障,否则保单对任何由于上述变更、修订、修改、事实和/或信息的不同而导致的损失不予保障。

    如果保险人在得到通知后30日,没有通知被保险人,则应视为保险人已经接受上述变更、修订、修改、事实和/或信息并同意承保其所引起的后果。

    如果被保险人没有就上述变更、修订、修改、事实和/或信息通知保险人,则任何由上述变更、修订、修改、事实和/或信息的不同而引起的损失,均不能在保单中获得保障。

    风险起期后,卫星发生的部分损失、全部损失或工作状态的改变,都不应视为承保信息的重大变更,除非其可能影响到本保单下保障的后续发射。

    九、赔款支付

    保险人必须在被保险人提交损失证明后30日内接受、拒绝该损失证明,或提出要求被保险人提供进一步用于证明损失的额外信息。保险人应在认可被保险人提供的损失证明后的30日内,向被保险人实际支付保险赔款。

    支付赔款后,如果被保险人和保险人书面同意,随后发生的事件或补充的信息证明已支付的赔款不应该支付,或应当赔付的金额应小于已经赔付的金额,被保险人应将协商同意的数额返还给保险人。被保险人可从依照本条规定应返还的金额中扣除由被保险人实际承担的、为减小损失或消除损失而发生的合理费用。返还的金额应当在被保险人和保险人双方就返还金额达成一致后的45日内支付保险人,且不计利息。

    十、货币

    本保单项下所有有关货币的支付义务应以   元支付。

    十一、声明

    被保险人一旦接受本保单,即意味着被保险人同意将保单声明和承保资料作为其同意的协议和告知的内容,同意本保单是依赖于这些协议和如实告知而签发的,并且同意本保单涵盖了被保险人和保险人之间关于本保险的所有协议。

    十二、克尽职守

    被保险人应如同未投保一样地克尽职守,合理、可行地采取措施以避免或减少本保单项下的损失发生。

    十三、适用法律和管辖权

    本保单受      法律管辖,并依据           进行解释。

    十四、政府出口控制

    本保单对被保险人提供下列材料的要求或义务:

    (一)信息、文件或其他资料,或

    (二)回答问题或索要的资料;或

    (三)转移卫星所有权或控制权,

    都应遵循政府批准以及出口管制法律、法规、政策的要求。如果由于政府批准程序的问题,被保险人未能获得上述批准或者不能及时提供保单项下要求的任何信息和数据,只要被保险人已经及时向有关方面提出了要求获准的申请,就不应当影响本保单项下被保险人的权利和保险人的责任。

    被保险人应尽全部合理可行的努力取得或使相关方有义务提供所有必要的许可、批准,以满足被保险人根据保单规定提供上述信息或资料以及回答保险人提问或信息要求的义务。

    如果在索赔过程中,政府不愿发放保险人所需信息的出口许可证, 被保险人与保险人应诚信协商,寻求其他可行的途径来完成保险赔偿的评估工作。

    十五、欺诈或虚报

    如果被保险人隐瞒或虚报有关本保单或保险标的的任何重要事实或情况,保险人有权宣布保单自始无效。不论在损失发生前还是损失发生后,如果被保险人诈欺或企图诈欺保险人,保险人也有权宣布保单自始无效。

    十六、被保险人义务

    如果发生可能引发本保单项下之索赔的事件,被保险人应当:

    (一)立即通知保险人。该通知(出险通知)应包含确定被保险人的足够细节,并包括所有可能合理取得的描述损失详情或事故原因的材料。在任何情况下,该出险通知的送达应不迟于被保险人的官员、董事或技术项目经理得到该事故发生的消息后30日,或者风险终止后的30日,以先发生者为准。

    (二)如果提出索赔,尽快将经检验证明的、公证过的证明损失发生的文件,以保险人合理要求的格式和信息内容提交给保险人(以下称损失证明)。在任何情况下,该损失证明的提交应不迟于被保险人发出出险通知后的180日或风险终止后的210日,以先发生者为准。

    损失证明至少应标明损失发生的日期、时间、性质和每一个可能导致索赔事件的最可能原因及索赔金额的计算依据,损失证明应由被保险人的授权官员签署和保证,并予以公证。

    十七、通知

    所有通知、要求、文件和其它通信,应以书面形式提交至下列地址:

    (一)如果发送给被保险人:

     

    (二)如果发送给保险人:

     

    通知要采用书面形式,并通过挂号信、传真或电子邮件发送给上述联系人。该通知自被保险人/保险人实际收到后方可生效。但是,任何以传真、电子邮件形式发出的通知,都应有收讫确认为据。

    十八、其他保险

    本保单允许被保险人购买其它保险,但条件是,如果被保险人或者他人以被保险人名义或为被保险人的利益,就本保单的承保风险还投保了其它有效的保险,保险人将按本保单保险金额占全部有效保险的保险金额总和的比例支付赔款。如果被保险人可以证明,其所购买的其它保险保障的是卫星未投保的实际价值部分或营业中断损失风险,并且这些保险与本保单条款不发生冲突,则上述规定不适用。所有这些其它保险的副本应根据保险人的要求提供给保险人。这些保险的条款条件对于本保单项下的被保险人的责任和义务以及保险人的权利和利益不应当有任何不利影响。

    十九、残值

    除本保单另有规定外,在全部损失和部分损失情形下,本保单没有残值利益。

    二十、代位求偿

    就本保单项下的赔付而言,被保险人应将其对任何个人或组织进行追偿的全部权利转让给保险人。被保险人应签署和提交文书、文件,并完成其它合理、必要的工作,以确保并不能损害这些权利。被保险人应与保险人合作,并应要求协助保险人完成追偿、收集证据,出庭作证。因保险人上述要求而产生的费用由保险人承担。

    保险人同意放弃向下列各方主张代位追偿的权利:

    (一)            以及他们的联营公司、承包商、和各层的分包商、各类供应商、及其他参与合同和发射服务协议的执行的相关主体,但此种权利的放弃仅限于被保险人在保险期间开始前就已书面同意放弃追偿的权力;

    (二)被保险人的董事、雇员、代理人以及母公司、股东、子公司。

    在保险期间开始后,如未得到保险人的书面同意,被保险人同意不再放弃任何追偿权。保险人的书面同意,如无合理理由不可撤回。

    二十一、标题

    本保单各部分和段落的标题,及本保单目前或将来任何批单或补充协议的标题,只是为方便起见而加入,并不应视为对其相关段落所包含的条款内容的一种限制或影响。

     

    第五部分   责任免除

    本保单不负责因下列原因产生的损失、损坏或失效:

    一、战争、敌对行动或在和平或战争时期发生的类似战争行为,包括为反战行为、战斗行为、或者抵抗实际的、即将来临的或预期的进攻而进行的行为,这些行为的发起人可以是:

    (一)任何政府或主权国家(不论名义上的还是实际上的);或

    (二)任何保持或使用陆军、海军或空军的当局;或

    (三)陆军、海军或空军;或

    (四)任何上述政府、主权国家、当局或军队的代表。

    二、任何以政治或恐怖主义为目的的个人或多人的行为,而不论是否代表主权国家,也不论因此发生的损失或损害是故意的还是意外的。

    三、个人或多人对卫星或运载火箭实施的、以政治或恐怖主义为目的的非法夺取或不当操纵。

    四、任何反卫星装置,或使用原子或核子的裂变或聚变的装置,或使用激光或定向能量射线的装置。

    五、起义、罢工、暴动、民变、叛乱、革命、内战、篡权或者政府当局为阻止、战斗或抵抗该类事件而采取的行动,不论是否宣布为战争状态。

    六、任何政府、政府当局或其代表(不论秘密或公开的,也不论是国民的、军事的还是事实上的)或公共或地方当局或机构下令或根据其命令对所有权或使用权的没收、国有化、捕获、管制、扣留、占用、征用。

    七、任何性质的核反应、核辐射、或放射性污染,不论损失是直接的还是间接的,除非导致损失的放射线是空间环境中自然发生的。

    八、电磁或电波频段的干扰,除非这种干扰直接造成了卫星的物质损失。

    九、   被保险人的董事、官员或雇员或者分包商,以造成卫星损失或失效为目的故意行为,但航射区安全官在其权限范围内做出的行为除外。

    十、额外费用、其他损害或间接损失(第四部分保险协议第二条第(二)款中规定的费用除外)。

    十一、第三方损害赔偿责任。

          


    SATELLITE IN-ORBIT INSURANCE

     

     

    DECLARATIONS

     

    1.                  NAMED INSURED  

                                    (the “Named Insured”)

     

    2.                  NAMED INSURED’S ADDRESS

     

     

    3.                  LOSS PAYEE

     

    Losses under this insurance are adjusted with and payable to the Named Insured or to any other loss payee as notified in writing by the Named Insured to the Insurers (the “Loss Payee”).

     

    4.                  PERIOD

     

    Commencing on and from xxxx at 00.01hrs local time at the Named Insured’s Address and terminating on xxxx at 00.01 local time at the Named Insured’s Address (the “Period”).

     

    5.                  AMOUNT OF INSURANCE

     

    The total amount of insurance and maximum amount payable under this policy is xxxx( “Amount of Insurance”):

     

     

    6.                  ATTACHMENT OF RISK

     

    Risk of loss under this policy shall attach at commencement of the Policy Period (“Attachment of Risk”).

     

    7.                  TERMINATION OF RISK

     

    Risk of loss under this insurance terminates for each Satellite separately (“Termination of Risk”) upon the earliest of the following:

               

    (a)                at expiry of the Period; or

     

    (b)               when agreed claims equal the Amount of Insurance for the Satellite; or

     

    (c)                when the Named Insured and the Insurers agreed that the Satellite is a Total Loss.

     

    8.                  COVERAGE PERIOD

     

    Coverage is provided under this insurance during the period between Attachment of Risk and Termination of Risk (the “Coverage Period”).

     

    9.                  PREMIUM

     

    The premium is USD[INSERT] (the “Premium”) and is payable as follows:

     

    The Premium is deemed fully earned at Attachment of Risk.

     

    10.       MARGINS

     

    For each Satellite separately, if the final propellant budget provided before Attachment of Risk, based on worst case three-sigma Satellite performance uncertainty and/or dispersions, demonstrates that the Predicted Satellite Manouvre Life provides a margin of less than 1 year with respect to the Nominal Operational Lifetime, the Nominal Operational Lifetime is reduced in order to restore a margin of 1 year with respect to the end of the Predicted Satellite Manoeuvre Life. 

     

    For each Satellite separately, if the final power budget provided before Attachment of Risk, based on worst case Satellite performance over the final adjusted Nominal Operational Lifetime as above, does not demonstrate a minimum power margin that satisfies the power margin specified in the Schedule for the Satellite for all summer solstice and autumn equinox cases during the Nominal Operational Lifetime, then the Nominal Communications Capacity is reduced in order to restore the power margin.

     

     

     

    INSURING AGREEMENT

     

    1.  In consideration of payment of the Premium, in reliance upon the statements in the Declarations and in the Underwriting Information, and subject to all of the terms, conditions, limitations and exclusions of this insurance, the Named Insured and Insurers agree the following, for each Satellite:

     

    (a)                In the event of a Total Loss taking place during the Coverage Period, the Insurers agree to pay the Loss Payee the Amount of Insurance.

     

    (b)                In the event of a Constructive Total Loss taking place during the Coverage Period, the Insurers agree to pay the Loss Payee the Amount of Insurance.

     

      The Named Insured has the right to declare a Partial Loss in lieu of a Constructive Total Loss, in which case the claim is calculated in accordance with Insuring Agreement 1.(c).  Exercising this right does not preclude the Named Insured from submitting a Proof of Loss for a subsequent loss.  

     

    (c)                In the event of a Partial Loss taking place during the Coverage Period, the Insurers agree to pay the Loss Payee in accordance with the Loss Amount.

     

    2.    If a loss can be satisfactorily corrected or compensated for within a reasonable period of time by additional ground installations, procedural changes, software development or any other reasonable corrective measures (“Corrective Measures”), the Insurers, after consultation with the Named Insured, must either:

     

    (a)    pay the Loss Payee in accordance with Insuring Agreements (a) through (c) above;        or

     

    (b)       indemnify the Named Insured for the costs required to implement the Corrective Measures. The Named Insured has no obligation to implement any Corrective Measures until an agreement has been reached between the Named Insured and the Insurers as to payment.  In the event that the Corrective Measures do not achieve satisfactory correction of or compensation for the loss, the Insurers bear the costs in addition to the Amount of Insurance.

     

    3.         In the event that a Satellite suffers loss, damage or failure for which the Loss Amount calculations or determinations do not apply, the Named Insured may make a claim using an alternative basis for the calculation provided that the Proof of Loss clearly demonstrates the necessity for doing so, that the Satellite does not meet the Performance Specifications, and cannot be used for its intended communications purposes.  The same margins and limitations of coverage apply when a claim is made on this basis.

     

    4.                  In the event that the Loss Payee has previously been paid for a loss, the amount payable for a subsequent loss is adjusted to prevent duplicative recovery.

     

    5.                  In the event of a loss where the Named Insured has the ability to operate the Satellite in one of several configurations, the Loss Amount is calculated using the configuration which minimises the claim subject to the Transponder Prioritisation detailed in the Schedule for the Satellite.  The Named Insured has the right to operate the Satellite in any configuration.

     

    6.                  The total amount payable for claims under this insurance for a Satellite is the Amount of Insurance for the Satellite.

     

    7.                  A loss is not deemed to have taken place unless it has manifested itself by telemetry or payload performance data or lack thereof, or any other ground measurement recorded during the Coverage Period and the Named Insured has complied with all of the terms and conditions of this insurance. 

     

    8.                   In the event that:

     

    (a)                a Partial Loss, Constructive Total Loss or Total Loss takes place during the Coverage Period; and

     

    (b)               degradation of  the Satellite’s performance continues beyond Termination of Risk; and

     

    (c)                the degradation is demonstrated by the Named Insured, with reasonable certainty, to have resulted from the event which caused the loss,

     

    the degradation of the Satellite’s performance is to be taken into account when calculating the Loss Amount.

     

     

     

    DEFINITIONS

     

    1.                  CONSTRUCTIVE TOTAL LOSS

               

    “Constructive Total Loss” means loss, destruction or failure of the Satellite such that:

     

    (a)                 75 percent or more of the Transponders are Transponder Failures, within the Coverage Period, or

     

    (b)                The Effective Communications Capacity is less than or equal to 25 percent of the Nominal Communications Capacity.

     

    2.                  CONTRACT

     

    “Contract” means each or any of the following:

     

    3.                  NOMINAL OPERATIONAL LIFETIME

     

    “Nominal Operational Lifetime” means the insured mission life for a Satellite (measured in years from Attachment of Risk).  The Nominal Operational Lifetime for a Satellite is specified in the Schedule for the Satellite.

     

    4.                  PARTIAL LOSS

     

    "Partial Loss" means loss of, damage to or failure of a Satellite such that the Effective Communications Capacity is less than the Nominal Communications Capacity but is not a Constructive Total Loss or a Total Loss.  The amount payable for a Partial Loss is calculated in accordance with the Loss Amount under Appendix 1.

     

    5.                  PERFORMANCE SPECIFICATIONS


    “Performance Specifications” means the performance specifications for the Satellite contained in the respective Contract.

     

    6.                  PREDICTED SATELLITE MANOEUVRE LIFE

     

    “Predicted Satellite Manoeuvre Life” means the period of time measured in years or parts of years during which the on-board propellant is expected by measurements and/or calculations to allow a Satellite to maintain its Orbital Location (as specified in the applicable Schedule for the Satellite).

     

    7.                  SATELLITE

     

    “Satellite” means XXXX for which coverage is provided under this insurance..

     

    8.                  TOTAL LOSS

     

                “Total Loss” means complete loss, damage or failure of the Satellite.

     

    9.                  TRANSPONDER


    "Transponder" means a unique transmission path through the Satellite including receive antenna, filters, receiver/down converter, input/output multiplexers, power amplifier transmit antenna and other related equipment.

     

    10.              TRANSPONDER YEAR

     

    “Transponder Year” means the period of time measured in years or fractions of a year that a Transponder is able to operate.

     

    The number of Transponder Years for a Transponder is theperiod of time from the date the loss, damage or failure giving rise to the loss occurs until the earlier of:

     

    (a)   the end of the Nominal Operational Lifetime, or

     

    (b)   the end of the Satellite’s Predicted Satellite Manoeuvre Life, or

     

    (c)   the moment when the Transponder Performance Factor equals 0.

     

     

    11.              Effective Communications Capacity (ECC)

     

    “Effective Communications Capacity” or “ECC” means the actual sum of all Transponder Years available across all Transponders which are not transponder failure on the Satellite.

     

    12.              Nominal Communications Capacity (NCC)

     

    “Nominal Communications Capacity” or “NCC” means the nominal Transponder Years which can be achieved according to agreed Satellite design on the basis of XX XX MHz and XXX MHz Ku-band Transponders for a Satellite Life of XX years.  The NCC for the Satellite is XXX Transponder Years.

     

    13.              Partial Loss Amount

    “Partial Loss Amount” shall be calculated as follows:

                Partial Loss Amount = (1-(ECC/NCC)) x the Amount of Insurance

                Where:

     

      ECC = Effective Communications Capacity

      NCC = Nominal Communications Capacity

     

    14.              UNDERWRITING INFORMATION


    “Underwriting Information” means the written information provided to the Insurers prior to Attachment of Risk, by or on behalf of the Named Insured with respect to the Satellite.

     

     

     

    CONDITIONS

     

    1.                  ABANDONMENT

    The Named Insured cannot abandon the Satellite, or any portion of it, to the Insurers without their prior written agreement.

     

    2.                  ACCESS TO TECHNICAL INFORMATION

     

    The Named Insured must respond to all reasonable and specific written requests regarding design, test, manufacture, quality control, launch, orbital and performance information concerning the Satellite and/or the subject matter of this insurance which is available to the Named Insured.

     

    To the extent that any information requested by the Insurers is subject to non-disclosure or proprietary information provisions under any contract between the Named Insured and its customers, contractors, or sub-contractors, the Named Insured must use all reasonable efforts to provide the information to the Insurers. If there is a delay in providing the information requested by the Insurers, the Named Insured agree to work together to find a mutually acceptable alternative method by which to proceed under this insurance.

     

    3.                  ACTION AGAINST THE INSURERS

     

    The Named Insured may not initiate arbitration or take any other legal action against the Insurers, with respect to a disputed Proof of Loss, until 30 days after the Proof of Loss was submitted by the Named Insured, in accordance with Condition 16. 

     

    4.                  ARBITRATION

     

    If a dispute arises out of or in relation to this insurance the Named Insured and the Insurer agree to attempt to resolve it through consultation.  If the parties are unable to resolve the matter through consultation within 30 days of the date on which one party's request for consultation is delivered to the other party, the parties agree to settle the dispute by arbitration using the Rules of Arbitration of the International Chamber of Commerce, by 3 arbitrators with the proceedings conducted in XXX.  The proceedings will take place in XXX hosted by The XXXX.  Any award is to be considered final and binding on the parties.

     

    5.                  ASSIGNMENT

    The Insurers are not bound by any assignment of interest under this insurance unless they give their prior written agreement. This does not apply to an assignment of the insurance or payment due under this insurance, assigned as collateral security under any security agreement securing indebtedness of the Named Insured or any of its affiliates.

     

    6.                  CANCELLATION


    C
    over for a Satellite may be cancelled only by mutual agreement between the Named Insured and the Insurers except that cover may be cancelled unilaterally by the Insurers for non-payment of Premium.

    If the Insurers wish to cancel cover for non-payment of Premium they must give 15 days written notice of cancellation to the Named Insured. The notice of cancellation ceases to be effective if the Insurers receive payment of the outstanding Premium before the effective date of cancellation.

     

    7.                  CHANGES

     

    Notice to or knowledge possessed by any agent or other person does not effect a waiver or a change in any part of this insurance or prevent the Insurers or the Named Insured from asserting any right under the terms of this insurance. The terms of this insurance may be changed or waived only if there is mutual agreement between the Named Insured  and the Insurers.   The Insurers must issue an endorsement recognising the change or waiver.

     

    8.                  CHANGES IN UNDERWRITING INFORMATION

    If, the [INSERT] becomes aware of one or more of the following:

     

    (a)                a material change in any of the Underwriting Information; or

     

    (b)               a change in any material fact or circumstance concerning the Satellite;

     

    the Named Insured must send prompt written notification of the change(s) to the Insurers.

     

    If the Named Insured does not notify the Insurers of the change, and a loss takes place as a direct result of the change, the loss is not covered under this insurance.

     

    If, in the Insurers’ reasonable opinion, the change results in a material increase in risk of loss or a material change in insurable interest under this insurance (“Material Change”), then the Insurers must promptly notify the Named Insured in writing.  If the Insurers do not respond with 10 days they are deemed to have accepted the change. 

     

    If the Insurers notify the Named Insured that they consider the change to be a Material Change, the Insurers and the Named Insured agree to commence prompt renegotiations of any affected terms.  Until Insurers agree in writing to cover the impact of the change it is not covered.

     

    Total Loss, Constructive Total Loss, Partial Loss, change in location or operating status of the Satellite that takes place after Attachment of Risk will not be considered a Material Change.

     

    9.                  CLAIM PAYMENTS

     

    If the Named Insured submits a Proof of Loss, the Insurers must accept, reject, or request further details within 30 days.  If the Insurers agree the Proof of Loss they must pay the claim within 30 days.

     

    If a claim is paid under this insurance and the Insurers and the Named Insured subsequently agree that as a result of additional information or subsequent events that the amount paid for the claim should be reduced or eliminated, the Named Insured agrees to either:

     

    (a)                return the difference between the amount received for the claim and the subsequently agreed amount, if the claim amount is reduced; or

     

    (b)               return the claim amount if it is eliminated.

     

    The return amount is paid without interest and within 30 days of the date the parties agree that a return is due and the Amount of Insurance is reinstated by the same amount by which the claim is reduced or eliminated.  The Insurers agree to indemnify the Named Insured for costs reasonably incurred in reducing or eliminating the claim.

     

    10.              CURRENCY

     

    All monetary obligations arising out of or in connection with this policy are payable in United States Dollars (USD). 

     

    11.              DECLARATIONS

     

                By acceptance of this insurance, the Named Insured agrees that:

     

    (a)                the statements in the Declarations and in the Underwriting Information are its agreements and representations; and

     

    (b)               this insurance is issued in reliance upon such agreements and the truth of such representations; and

     

    (c)                this insurance embodies all agreements existing between the Named Insured and the Insurers, relating to this insurance.

     

    12.              DUE DILIGENCE

     

    The Named Insured is obliged to use due diligence and do all things reasonably practicable to avoid or diminish any loss under this insurance and agrees to act at all times as if uninsured in actions or decisions relating to this insurance and the subject matter of this insurance.

     

    13.              GOVERNING LAW AND JURISDICTION

     

    This insurance is governed by and construed in accordance with the laws of XXXX.  Any arbitration tribunal convened in accordance with Condition 4 has jurisdiction to hear any dispute arising out of or in connection with this insurance.  The ourts have exclusive jurisdiction in any matters not otherwise resolvable by arbitration under Condition 4.

     

    14.              GOVERNMENT EXPORT CONTROL

     

    All requirements or obligations of the Named Insured under this insurance to:

     

    (a)                provide information, documentation or other materials;

     

    (b)                respond to questions or requests for information;

     

    (c)                transfer title to or control of the Satellite,

     

    may be subject to export control laws, regulations and/or policies and government agency approvals of any government having jurisdiction or authority with respect to the Satellite or the Launch Vehicle or any data and services related to them. The Named Insured’s and the Insurers’ rights, duties and obligations under this insurance are not be affected by delays in the delivery of any data or information requested under this insurance which are due to the relevant government’s approval process.

     

    The Named Insured warrants to exercise reasonable efforts to obtain, or cause the parties having the obligation to obtain, all necessary licenses and/or approvals in order to comply with all requirements and obligations under this insurance to provide the information or materials and respond to the Insurers’ questions or requests for information.

     

    In the event that a government agency fails to grant a necessary license or approval to permit transfer of the information to the Insurers, the Insurers and the Named Insured agree to seek an alternative method by which to proceed under this insurance.

     

    15.              MISREPRESENTATION AND FRAUD

    There is no cover for a Satellite if the Named Insured knowingly misrepresents any material fact or circumstance concerning this insurance or if the Named Insured defrauds or attempts to defraud the Insurers whether before or after a loss.  

     

    16.              NAMED INSURED’S DUTIES
               

    (a)                If an event takes place that, based on the information available at the time, is reasonably likely to result in a loss under this insurance, the Named Insured must give written notice of the event as soon as practicable to the Insurers. The notice must contain sufficient particulars to identify the Named Insured and all reasonably obtainable information describing the circumstances of the event (“Notice of Event”). The Notice of Event  must be provided no later than 30 days after the earlier of:

     

    (i)                  the date on which the [INSERT] and/or [INSERT] or their designated representatives in their absence is/are notified or become aware of the event; or

     

    (ii)                Termination of Risk.

     

    (b)                If the Named Insured determines that the event giving rise to the Notice of Event has resulted in a loss, the Named Insured must file a sworn and notarised proof of loss with the Insurers as soon as practicable (“Proof of Loss”) but in no event later than 180 days following the Notice of Event.


    The Proof of Loss must contain sufficient detail to support the basis and amount of the claim. 
    At a minimum, the Proof of Loss must state the date, time, nature, and the Named Insured’s belief as to the most probable cause of each event which has resulted in a claim under this insurance.

     

    In the event that the facts necessary to complete the Proof of Loss, including the extent and amount of the loss claimed, are not fully available at the time that the Proof of Loss is due to be filed, the Insurers and the Named Insured may mutually agree to an extension of the deadline to file the Proof of Loss, provided that the extension does not adversely affect the Insurers’ or the Named Insured’s rights under this insurance.

     

    At the reasonable request of the Insurers, the Named Insured must conduct review sessions with the Insurers to discuss any issues relating to the Proof of Loss.

     

    In the event that a Proof of Loss has been agreed by the Insurers, the Named Insured, upon the request of the Insurers, must execute a release agreement.

     

    17.              NOTICES

     

    All correspondence, notices, consents, requests and any other correspondence under this insurance must be in writing and addressed as follows:

    Notices are effective when received.

     

    Receipt means:

               

    (a)                actual receipt for notices delivered in person or by registered mail.

     

    (b)                receipt as evidenced by delivery confirmation from the recipient for notices sent by email or facsimile.

     

    18.              OTHER INSURANCE

     

    Permission is granted for the Named Insured to secure other insurance, provided that:

     

    (a)                the terms and conditions of any other insurance secured by the Named Insured has no detrimental effect on the Insurers’ rights and privileges under this insurance;

     

    (b)               the other insurance has no affect on the Named Insured’s duties and obligations under this insurance;

     

    (c)                if the Named Insured recovers on claims under one or more other insurances for which the Named Insured also recovers under this insurance, the Named Insured’s recovery under this insurance is in the ratio that the Amount of Insurance bears to the whole amount of all valid insurance.

     

    This Condition applies to the extent that the Named Insured can demonstrate that other insurance has been procured to provide coverage for uninsured exposure(s).

     

    19.              SALVAGE

     

    After payment for a loss,

     

    a)         the Insurer shall have the sole right to the benefit of salvage from the Satellite, including the right to take title to the Satellite in the event of a Total Loss, or that portion of the Satellite for which a loss has been paid, subject to any applicable laws and regulations and will bear the costs of securing such benefits subject to the Insurer’s prior agreement to these costs. The Named Insured shall cooperate with the Insurer and do all things reasonably practicable to help the Insurer secure the maximum benefit of salvage at the Insurer’s sole cost and expense, including the provision of documentation necessary to operate the Satellite in the event of a Total Loss. The Named Insured shall not bear any financial obligation to secure the benefit of salvage absent a contract with the Insurer to do so.

     

    b)         in the event the Named Insured continues to operate the Satellite, or that portion of the Satellite for which a loss is paid hereunder, the Insurer shall receive 10% of the gross operating revenue or equivalent market value of goods or services derived by the Named Insured from the Satellite or that portion of the Satellite for which a claim is paid, up to the amount of payment made by the Insurer for the Satellite or that portion of the Satellite under this policy.

    c)                     in the event the Named Insured sells, leases or otherwise disposes of the Satellite for which a claim for Total Loss is paid or a portion of the Satellite for which a Partial Loss is paid hereunder, the Insurer shall receive ninety percent 90% of the proceeds of the sale, up to the amount of payment made by the Insurer for the Satellite or the portion of the Satellite for which a claim was paid under this policy.  The Named Insured shall be permitted to deduct from any such sale proceeds any reasonable costs incurred by the Named Insured with the consent of the Insurer directly related to such sale.  The Named Insured shall not sell, lease or otherwise dispose of the Satellite for which a claim is paid without the consent of the Insurers.

     

    20.              SUBROGATION

    To the extent of any claim payment under this insurance, the Insurers are subrogated to all of the Named Insured’s rights of recovery against any person or organisation. The Named Insured must do nothing after a loss to prejudice the rights of the Insurers and must execute and deliver applicable instruments and papers and do whatever else is reasonably practical  to secure the rights. The Named Insured must cooperate with the Insurers and assist in effecting settlement, securing evidence, and in the conduct of suit, if the Insurers make a written request for this assistance.   This assistance is provided at theInsurers’ sole expense.

     

    The Insurers agree to waive all rights of recourse acquired through subrogation, against each of those parties listed below but only to the same extent that the Named Insured has waived its rights in writing before commencement of the Period against the following:

     

    (a)                any parent, affiliate or subsidiary of the Named Insured or any company managed by the Named Insured; and any officer, shareholder, agent, director or employee of any of these entities;

     

    (b)               Satellite manufacturer under the Contract and any employee, officer, director, subsidiary and affiliate; and

     

    (c)                any contractor, subcontractor and supplier, at any tier of the Named Insured,  the launch services provider or the Satellite manufacturer  and the governments having jurisdiction over such entities.

     

    The Named Insured agrees to waive no further rights of subrogation after inception of the Period without the prior agreement of the Insurers.

     

    21.              TITLES

    The titles of the various paragraphs and sections of this insurance, and of any endorsements or supplemental agreements currently or subsequently attached to this insurance, are inserted solely for convenience and are not deemed to limit or otherwise affect the terms contained in the paragraphs to which they relate.

     

     


    EXCLUSIONS

     

    This insurance does not apply to loss, damage or failure caused by or resulting from:

     

    1.                   War, invasion, hostile or warlike action in time of peace or war, including action in hindering, combating or defending against an actual, impending or expected attack by:

     

    (a)                any government or sovereign power (de jure or de facto); or

     

    (b)               any authority maintaining or using a military, naval or air force; or

     

    (c)                a military, naval, or air force; or

     

    (d)               any agent of any such government, power, authority or force.

     

    2.                   Any anti-satellite device, or device employing atomic or nuclear fission and/or fusion, or device employing laser or directed energy beams.

     

    3.                   Insurrection, strikes, labour disturbances, riots, civil commotion, rebellion, revolution, civil war, usurpation, or action taken by a government authority in hindering, combating or defending against such an occurrence, whether there be declaration of war or not.

     

    4.                   Confiscation, nationalization, seizure, restraint, detention, appropriation, requisition for title or use by or under the order of any government or governmental authority or agent (whether secret or otherwise and/or whether civil, military or de facto) or public or local authority or agency.

     

    5.                   Nuclear reaction, nuclear radiation, or radioactive contamination of any nature, whether such loss or damage be direct or indirect, except for radiation naturally occurring in the space environment.

     

    6.                   Electromagnetic or radio frequency interference, except for physical damage to the Satellite directly resulting from such interference and from interference coming directly from the Satellite.

     

    7.                   Wilful or intentional acts of the Named Insured designed to cause loss or failure of the Satellite, with the exception of the range safety officer acting within his authorized responsibilities, designed to cause loss or failure of the Satellite; however, this exclusion does not apply to actions of any employees, contractors or subcontractors of the Named Insured while acting outside their authorized responsibilities.

     

    8.                   Any act of one or more persons, whether or not agents of a sovereign power, for political or terrorist purposes and whether the loss, damage or failure resulting therefrom is accidental or intentional.
