卫星发射及初始运行保险条款
第一部分 保单声明
一、被保险人
(以下称“被保险人”)。
二、被保险人地址
三、保险期间
自被保险人所在地标准时间 年 月 日00:00起至 年 月 日24:00止本保单有效(以下称“保险期间”)。如果发生发射终止,保险期间延长至 年 月 日00:00止。
四、受益人
本保险单项下的受益人指被保险人或被保险人指定的第三方。
五、保险金额
本保单项下对损失赔付的最高金额为 元(以下称“保险金额”)。
六、风险起期
本保单项下损失风险的保障从意向点火开始,且意向点火发生在保险期间内(以下称“风险起期”)。如果发生发射终止,随后的风险起期应依照第四部分保险条件第二十条的相关规定。
七、风险终止
本保单项下损失风险的保障应在下列情况之一发生时终止,以先发生者为准(以下称“风险终止”):
(一)保险人认可卫星发生全部损失时;或
(二)本保单项下保险人同意的赔偿金额累计达到保险金额时;或
(三)风险起期发生满一周年对应日被保险人所在地标准时间00:01时;或
(四)发生发射终止时,但需依照第四部分保险条件第二十条之规定;
(五)保险期间结束时。
然而,如果发射发生在保险期间内,但在保险期间结束前所剩时间不足以满足本条第(一)、(二)和(三)款所规定的时间,则保险人同意延长保险期间至本条第(一)、(二)和(三)款规定的情况之一(以最先发生者为准)发生时终止。
八、保险费
鉴于本保险单项下的保障范围,被保险人应向保险人支付保险费 元(以下简称“保险费”),保险费应按照第四部分保单声明第五条规定的保险金额乘以保险费率 %计算。
保险费的10%(以下称“预付保险费”)应当在保险期间开始时支付给保险人。剩余的90%的保险费(以下称“余额保险费”)应不晚于卫星计划发射日前30日支付给保险人。
风险起期之时,保险费即应视为已由保险人完全拥有,但需依照第四部分保险条件第二十条的有关规定。
如在保险期间结束前风险起期没有发生或者不会发生,保险人应退还被保险人已经支付的保险费。保险人应当在保险期间结束前30日内,或在收到被保险人关于风险起期不会在保险期间内发生的书面通知后的30日内(以先发生者为准),不计利息地将保险费退还被保险人。
九、计划发射日
卫星的计划发射日为: 年 月 日。如果计划发射日调整,被保险人应及时通知保险人。如果调整后的发射日仍在保险期间内,则不构成重大变更。
如果保险人收到全部保险费后,发射较计划发射日推迟超过3个月,被保险人有权要求退还余额保险费。保险人应在收到被保险人要求退还余额保险费的通知后的30日内不计利息地将余额保险费退还被保险人,本保单将继续有效,但被保险人应在不迟于新确定的计划发射日前30日重新缴纳余额保险费。
十、发射前余量
基于对运载火箭和卫星性能的不确定性和/或轨道偏移的最坏情况分析(以3倍标准差计算),如果发射前最终确定的燃料预算显示,发射前卫星的预计燃料寿命少于 年,则卫星的额定服务寿命应相应减少,以满足卫星在预计燃料寿命末期保持一年燃料余量的要求。
基于对卫星在上述最终调整的额定服务寿命期间运行性能的最坏情况分析,如果发射前最终确定的电能预算显示,卫星不能在整个额定服务寿命期间始终保持至少7.5%的电能余量,则卫星额定通信能力应相应减少,以使卫星在额定服务寿命末期和此前的任何时期仍能保持7.5%的电能余量。上述电能余量的计算基础应假设全部有效载荷都按照合同规定的工作状态运行,并且每侧太阳能帆板有一串硅太阳电池片失效、每组蓄电池一节单体失效。
第二部分 保险协议
基于被保险人已交付保险费,依据保单声明和全部的承保信息,并以本保单项下全部保险条款规定为准,保险人同意:
一、如果在风险起期至风险终止期间发生的卫星的损失、损坏,或失效导致全部损失,则按照保险金额赔偿被保险人。
二、如果在风险起期至风险终止期间发生的卫星的损失、损坏,或失效导致部分损失,则按照部分损失金额赔偿被保险人。
三、如果发生发射终止,则负责补偿被保险人应由其承担的与点火终止相关的所有合理费用,但这些费用应当是为使卫星恢复到适飞状态以继续进行下一次发射而发生的直接的、合理的及必需的支出。在发生发射终止的情况下,应适用第四部分保险条件第二十条的规定。
四、如果被保险人可以在多种模式下运行卫星, 则用以计算索赔损失所依据的运行模式应当是使赔偿金额最小化对应的模式。被保险人有权按照其他不同的模式实际运行卫星,而非限于保险理赔计算所采用的运行模式。
五、如果发生全部损失或者部分损失后,通过增加地面设备,改变操作程序,改进软件和/或采取其它任何措施(修正措施)可以消除或弥补已经发生的损失,则保险人在与被保险人协商后,有权选择如下两种方式之一进行赔偿:
(一)根据上述几项规定的方式赔偿被保险人;或
(二)承担被保险人因采取修正措施而产生的所有必要费用。
如果保险人选择了采取修正措施的方案,但却没有达到令人满意的故障修正或损失弥补的效果,则在保险金额之上,或者部分损失时在部分损失赔款之上,保险人还应承担采取修正措施而发生的必要的成本和费用。
六、除了上述本条第五款第(二)项规定的情况外,本保单项下的赔付总额不应超过保险金额,且要依照第四部分保险条件第二十条的有关规定。
七、本保单不负责因全部损失或者部分损失而提出的索赔,除非:
(一)导致全部损失或者部分损失索赔的损失、损坏或失效事件能够被遥测数据证明,或遥测数据缺失,或可通过其它任何地面措施等证明,并且这些数据或措施均记录于风险起期至风险终止期间;且
(二)被保险人已根据第四部分保险条件第三条的规定,向保险人提交了出险通知和损失证明。
(三)在转发器不再能达到可用转发器所要求的指标之前,被保险人应用尽所有可用的备份、冗余和余量。
八、在被保险人根据第四部分保险条件第二十条规定做出过恢复保额的情况下,如果被保险人先前已经在本保单下就卫星的损失获得过赔偿,则对于卫星后续损失的赔偿应相应调整以避免重复赔偿。
第三部分 定义
一、合同
“合同”是指 与 在 年 月 日签署的合同(合同号 ),以及在保险期间开始前做出的、经保险人事先同意的合同修改。其他后续的修订或修改也应事先征得保险人的同意。
二、发射服务协议
“发射服务协议”是指 与 于 年 月 日签署并生效的协议,以及在保险期间开始前做出的、经保险人事先同意的合同修改。其他后续的修订或修改也应事先征得保险人的同意。
三、保险人
“保险人”是指承保本保单项下所含风险以及参与承保本保险项目的保险公司。
四、运载火箭
“运载火箭”是指一枚可将卫星送入预定转移轨道的运载火箭。
五、卫星
“卫星”是指根据合同专门生产和交付的基于 平台的 卫星。
六、意向点火
“意向点火”是指发射指挥塔发出的发射指令信号被运载火箭接收到且推进剂开始流向运载火箭一级发动机的时刻。
七、起飞
“起飞”是继运载火箭意向点火之后,运载火箭脱离发射台,其标志为运载火箭起飞触点的闭合。
八、发射终止
“发射终止”是指继意向点火之后,运载火箭第一级发动机以及助推器在起飞前关机,其标志是起飞触点没有闭合,并且发射方宣布发射台处于安全状态。
九、星箭分离
“星箭分离”是指运载火箭按照预定程序与卫星脱离接触的瞬间,其标志是运载火箭通过卫星支架上安装的分离开关得到分离信号。星箭分离后、风险终止前由运载火箭导致的卫星的损失,仍应被视为星箭分离前发生的损失。
十、卫星性能指标
“卫星性能指标”是指合同附件《卫星性能规范》中规定的技术指标。
十一、最终验收
“最终验收”是指合同规定的含义。
十二、转发器
“转发器”是指通过卫星进行转发的唯一路径,包括接收天线、滤波器、接收机/下行变频器、输入/输出多工器、功率放大器、发射天线和其他相关设备。
十三、可用转发器
“可用转发器”是指:
(一)满足或高于卫星性能指标要求的转发器;或
(二)经过合理判断,被保险人通过可行手段补救后仍能满足预定商业通信用途的转发器。
但是,无论根据本条第(一)款或第(二)款,都需要有足够的电能支持转发器的工作。仅上行切换功能丧失但仍可以满足商业通信用途的转发器,仍应当被视为可用转发器。
转发器的服务能力应从最终验收或起飞后60日(以先发生者为准)开始,直到卫星额定服务寿命终止。
如果经过合理的预测可以判断,某个转发器在卫星额定服务寿命终止前不再能满足上述要求,从而使风险终止后某个时刻该转发器失效,那么,从按照预测显示的转发器实际上不能再满足工作要求的时刻起,该受损的转发器应不再被视为可用转发器。
十四、转发器失效
“转发器失效”是指一个转发器停止成为可用转发器。
十五、上行切换功能
“上行切换功能”是指根据卫星性能指标,每一个单一转发器在C频段波束上行与Ku点波束上行(及其相应服务区)之间转换的能力。
十六、预计燃料寿命
“预计燃料寿命”是指以年或年分数为单位计量的一段期间,在此期间内,经测算星上燃料可以使卫星保持在其轨道位置,并使卫星保持性能指标所要求的姿态。
计算预计燃料寿命时:
(一)如果在最终验收之前,预计燃料寿命应从火箭起飞后60日开始计算;
(二)如果在最终验收之后,预计燃料寿命应从最终验收完成或火箭起飞后60日开始计算,以先发生者为准。
十七、额定服务寿命
“额定服务寿命”是指为卫星投保的任务寿命(以年计算),即从最终验收或起飞后60日(以先发生者为准)起计算共 年。
十八、 转发器年
“转发器年”是指,对于每个转发器而言,以年或年分数为单位计算的、一个转发器作为可用转发器的时间。
任一转发器的转发器年数应是下列时间数中最短的一个:
(一)卫星的额定服务寿命;或
(二)卫星的预计燃料寿命;或
(三)转发器满足可用转发器技术指标要求的时间长度。
十九、额定通信能力(NCC)
“额定通信能力”是指根据卫星 MHz C频段转发器和 年额定服务寿命的设计,卫星所能达到的名义上的转发器年数。据此计算,卫星的额定通信能力为 个转发器年。
二十、有效通信能力(ECC)
“有效通信能力”是指卫星上每一个转发器根据其作为或预计可作为一个可用转发器工作的期间而计算的实际转发器年的总和。
如果在风险起期和风险终止期间发生卫星损失、损坏或失效导致某个转发器工作状态在额定服务寿命期间内发生变化,并且这种变化将导致这个转发器在权重数值上发生变化,那么在状态变化首次发生日之前和之后的期间,应分别适用相应的权重。
下述表格将被用以评估所有转发器的权重:
备注:
(一)对于一个C/C、Ku/C信道均可用的转发器,不论上行切换功能是否正常,应适用情况一确定的权重。
(二)对于一个C/C信道或Ku/C信道之一可用的转发器,如果其上行切换功能丧失并且通路固定在那个可用的C/C或Ku/C信道上不可切换,应适用情况一确定的权重。
(三)对于一个C/C信道或Ku/C信道之一可用的转发器,如果其上行切换功能丧失并且通路固定在那个不可用的C/C或Ku/C信道上不可切换,应适用情况二确定的权重。
(四)对于一个C/C、Ku/C信道均不可用的转发器,不论上行切换功能是否正常,应适用情况二确定的权重。
二十一、部分损失
“部分损失”是指卫星的任何损失、损坏或失效导致卫星的有效通信能力低于额定通信能力,但不构成全部损失。
二十二、全部损失
“全部损失”是指在风险起期和风险终止期间,卫星完全损失。
二十三、部分损失金额
“部分损失金额”按照以下方式计算:
部分损失额 = (1-(ECC/NCC))*保险金额
"ECC" 表示有效通信能力
"NCC" 表示额定通信能力
在卫星损失可以满足全部损失标准的情况下,被保险人也可选择依据“部分损失”提出索赔,但其提供的损失证明应当能清楚地证明其选择这种基础计算索赔的必要性。
如果可能导致任何重复赔偿,对部分损失的赔偿金额应做必要调整以消除任何可能的重复赔偿。
二十四、承保信息
承保信息是指被保险人或其代表向保险人提供的,关于本保单保险标的的书面资料。
第四部分 保险条件
一、声明
被保险人一旦接受本保单,即意味着被保险人同意将保单声明和承保资料作为其同意的协议和告知的内容,同意本保单是依赖于这些协议和如实告知而签发的,并且同意本保单涵盖了被保险人和保险人之间关于本保险的所有协议。
二、克尽职守
被保险人应如同未投保一样地克尽职守,合理、可行地采取措施以避免或减少本保单项下的损失发生。
三、索赔程序
如果发生可能引发本保单项下之索赔的事件,被保险人应当:
(一)立即通知保险人。该通知(出险通知)应包含确定被保险人的足够细节,并包括所有可能合理取得的描述损失详情或事故原因的材料。在任何情况下,该出险通知的送达应不迟于被保险人的官员、董事或技术项目经理得到该事故发生的消息后30日,或者风险终止后的30日,以先发生者为准。
(二)如果提出索赔,尽快将经检验证明的、公证过的证明损失发生的文件,以保险人合理要求的格式和信息内容提交给保险人(以下称损失证明)。在任何情况下,该损失证明的提交应不迟于被保险人发出出险通知后的180日或风险终止后的210日,以先发生者为准。
损失证明至少应标明损失发生的日期、时间、性质和每一个可能导致索赔事件的最可能原因及索赔金额的计算依据,损失证明应由被保险人的授权官员签署和保证,并予以公证。
如果保险人在被保险人提供的材料之外还需要其他的用于证明损失的额外信息,保险人应书面提出问题,并且这些问题应当在收到损失证明或收到损失证明后的其他补充材料之后的20日内提出。
在收到损失证明或对其根据前款提出的问题的全部答案后20日内,保险人应表明接受或拒绝该损失证明。
四、赔付
在支付保险赔款前,保险人和被保险人双方均应诚信地讨论残值事宜。以保险双方事先达成一致意见并签署责任解除书为前提,保险人应在认可被保险人提供的损失证明后的30日内,向被保险人实际支付保险赔款。
五、起诉保险人
被保险人不可起诉保险人,或要求仲裁,除非被保险人已经履行了本保单的所有规定,并且:
(一)被保险人已按本部分第三条规定提供损失证明超过60日且该损失证明已被拒绝;或
(二)保险人根据保单规定应当对损失证明做出反应的时间已经过期;两者以先发生者为准。
六、委付
依据第二部分保险条件第八条第(三)款规定的被保险人的权利,被保险人不得将卫星或卫星的任何部分委付给保险人,除非保险人书面同意。
七、返还赔款
支付赔款后,如果被保险人和保险人书面同意,随后发生的事件或补充的信息证明已支付的赔款不应该支付,或应当赔付的金额小于已经赔付的金额,被保险人应将协商同意的数额返还给保险人。被保险人可从依照本条规定应返还的金额中扣除由被保险人实际承担的、为减小损失或消除损失而发生的合理费用。返还的金额应当在被保险人和保险人双方就返还金额达成一致后的45日内支付保险人,且不计利息。
八、残值
如果保险人支付了本保单项下的索赔,则保险人有权要求获得由残值衍生的全部收益。被保险人应尽可能采取一切合理、可行的措施使残值收益最大化。被保险人有权要求在卫星全部损失的情况下提供替代卫星或在部分损失情况下继续运营该卫星未遭受损失的部分,以继续履行在卫星发生损失时所应承担的合同义务。保险人从残值中获得收益的金额应限于保险赔款的金额。对轨道位置的再次使用不存在残值问题。
(一)在赔付了本保单项下的全部损失之后,保险人依照相关法律法规取得卫星的所有权,但前提是这样做不会使被保险人违法。在被保险人得到赔付后的90日内,保险人可以行使该项权利。
(二)如果保险人决定选择该项权利以获得卫星所有权,保险人应发出书面通知,向被保险人明确其意向。被保险人应配合保险人,并尽可能采取一切合理、必要的措施协助完成法律权利转让的相关事宜。由于协助所有权的转让而使被保险人产生的合理的、必要的费用支出,在事先征得保险人同意的条件下,全部由保险人负责支付。如果保险人取得了卫星的所有权,若被保险人要求,保险人应当在取得所有权60日内将卫星从其轨道位置移走。
(三)如果保险人在本条第(一)款规定的期间内没有行使取得卫星所有权的权利,被保险人可以出售或处置卫星,或用于其它用途或将卫星弹射出轨道位置。如果被保险人因出售、处置或使用卫星而获得收入,应当向保险人支付该销售、处置或使用所获总收入的90%,其余收入归被保险人所有。在计算上述总收入时,被保险人可以扣除应为获取收入而直接发生的、合理的费用,但这些费用需经保险人事先批准。
(四)在部分损失得到赔付之后,被保险人应尽最大可能协助保险人寻求机会对按部分损失赔付的卫星失效部分予以补救。在不违反本部分第七条规定和保险补偿原则的前提下,经过保险人和被保险人友好协商达成一致,则被保险人可以保留使用卫星失效部分的权利,对已赔付的卫星失效部分衍生的全部收益按照1:2的比例由保险人和被保险人分享。
九、获取技术信息
在满足第四部分保险条件第二十四条的规定的前提下,如果保险人书面要求,被保险人应提供与本保单项下损失风险或确定损失相关的所有可以得到的设计、测试、质量控制、发射、轨道方面的信息。
根据本部分第三条的规定,出险通知一经发出,应保险人要求,被保险人应
(一)组织评审会,和保险人一起讨论任何与出险通知事件相关的问题;并且
(二)尽全部合理可行的努力确保保险人获取相关信息,包括在对故障原因或损失影响的调查或评审中使用的所有相关信息;
(三)使保险人能够检查并复制所有确定损失或验证返还赔款或残值的计算方法所需的全部资料。
对于保险人根据本保险条件所要求的受限于被保险人与其承包商合同中规定的保密协议或专有信息的任何资料,被保险人应尽全部合理可行的努力获得符合保险人要求的信息资料。如果适用的话,就保密协议、专有资料而言,保险人应承担相似的保密义务。
如果被保险人意识到卫星在风险起期后失去了部分冗余或余量,被保险人应尽快通知保险人。
十、承保信息的重大变更
如果被保险人:
(一)变更、修订或修改了合同和/或发射服务协议,或
(二)意识到提供给保险人的承保信息发生了任何变化,或
(三)意识到与卫星和运载火箭有关的事实或信息发生了变化;
则被保险人应立即将上述变更、修订、修改、事实和/或信息通知保险人。
如果以保险人合理的观点认为,上述变更、修订、修改、事实和/或信息使本保单项下的损失风险产生实质性增加或者对保单下可保利益构成实质性影响,保险人应在得到通知后的30日内通知被保险人。在这种情况下,保险人有权与被保险人一起重新审查保单条款,并就受影响的保单条款部分重新谈判。
除非经过上述重新谈判后,保险人同意为上述变更、修订、修改、事实和/或信息继续提供保障,否则保单对任何由于上述变更、修订、修改、事实和/或信息的不同而导致的损失不予保障。
如果保险人在得到通知后30日,没有通知被保险人,则应视为保险人已经接受上述变更、修订、修改、事实和/或信息并同意承保其所引起的后果。
如果被保险人没有就上述变更、修订、修改、事实和/或信息通知保险人,则任何由上述变更、修订、修改、事实和/或信息的不同而引起的损失,均不能在保单中获得保障。
风险起期后,卫星发生的部分损失、全部损失或工作状态的改变,都不应视为承保信息的重大变更,除非其可能影响到本保单下保障的后续发射。
十一、权益转让
保险人不受本保单项下任何权益转让的约束,除非在此转让之前,被保险人得到了保险人的书面认可。如无合理理由,保险人不应当拒绝提供该书面认可。
十二、保单变更
任何代理人或自然人所得到的通知或所拥有的信息,均不能造成本保单任何部分的放弃或变更,也不能阻止保险人主张本保单项下的任何权利。只有被保险人和保险人达成协议,才可放弃或变更本保单的条款,并且要以双方同意签发的、作为本保单不可分割部分的批单为证。
十三、代位求偿
就本保单项下的赔付而言,被保险人应将其对任何个人或组织进行追偿的全部权利转让给保险人。被保险人应签署和提交文书、文件,并完成其它合理、必要的工作,以确保并不能损害这些权利。被保险人应与保险人合作,并应要求协助保险人完成追偿、收集证据,出庭作证。因保险人上述要求而产生的费用由保险人承担。
保险人同意放弃向下列各方主张代位追偿的权利:
(一) ,以及他们的联营公司、承包商、和各层的分包商、各类供应商、及其他参与合同和发射服务协议的执行的相关主体,但此种权利的放弃仅限于被保险人在保险期间开始前就已书面同意放弃追偿的权力;
(二)被保险人的董事、雇员、代理人以及母公司、股东、子公司。
在保险期间开始后,如未得到保险人的书面同意,被保险人同意不再放弃任何追偿权。保险人的书面同意,如无合理理由不可撤回。
十四、注销
如果被保险人未缴纳保险费,保险人可注销本保单。如果被保险人未按期缴纳保险费,为了使注销生效,保险人应向被保险人发出书面注销通知,声明在15日内保单将被注销。如果被保险人在上述通知期限内缴纳了全部到期应付的保险费,保险人已发出的注销通知的效力即行终止。
除上述情况外,只有被保险人与保险人双方达成书面协议,本保单才可被注销。
十五、欺诈或虚报
如果被保险人隐瞒或虚报有关本保单或保险标的的任何重要事实或情况,保险人有权宣布保单自始无效。不论在损失发生前还是损失发生后,如果被保险人诈欺或企图诈欺保险人,保险人也有权宣布保单自始无效。
十六、仲裁
如果本保单项下产生任何争议,被保险人和保险人应通过友好协商解决。如果在一方要求另外一方进行协商后的30日内,双方就争议问题仍未能达成一致,那么任何一方均可根据本部分第十九条指定的法律提交 仲裁委员会按照该会仲裁规则仲裁。仲裁语言应当为 。
在组成仲裁厅的3名仲裁员中,各方各指定一名仲裁员,第三名仲裁员由已选定的2名仲裁员指定。
仲裁裁决为终局性的,对双方均有约束力。双方任何一方可申请具有管辖权的法院执行该裁决。
十七、其它保险
本保单允许被保险人购买其它保险,但条件是,如果被保险人或者他人以被保险人名义或为被保险人的利益,就本保单的承保风险还投保了其它有效的保险,保险人将按本保单保险金额占全部有效保险的保险金额总和的比例支付赔款。如果被保险人可以证明,其所购买的其它保险保障的是卫星未投保的实际价值部分或营业中断损失风险,并且这些保险与本保单条款不发生冲突,则上述规定不适用。所有这些其它保险的副本应根据保险人的要求提供给保险人。这些保险的条款条件对于本保单项下的被保险人的责任和义务以及保险人的权利和利益不应当有任何不利影响。
十八、通知
所有通知、要求、文件和其它通信,应以书面形式提交至下列地址:
(一)如果发送给被保险人:
(二)如果发送给保险人:
通知要采用书面形式,并通过挂号信、传真或电子邮件发送给上述联系人。该通知自保险人实际收到后方可生效。但是,任何以传真、电子邮件形式发出的通知,都应有收讫确认为据。
十九、适用法律和管辖权
本保单受 法律管辖,并依据 法律进行解释。
二十、发射终止后的风险保障
如果发射终止,且可确定后续的意向点火仍可以在本保单期内发生,则保险人同意按照与首次发射同样的基础,重新对后续发射提供保障,但前提是:
(一)如果卫星和运载火箭均没有损坏,被保险人应向保险人提供由卫星制造商和运载火箭发射服务提供商出具的证明(这些资料将作为被保险人的投保告知),证明尽其已经掌握的知识和持有的信心,卫星和运载火箭均未受损,并具备适飞条件;或
(二)如果卫星和/或运载火箭遭受损坏,被保险人应向保险人提供由卫星制造商和运载火箭发射服务提供商出具的证明(这些资料将作为被保险人的投保告知),证明尽其已经掌握的知识和所持有的信心,损坏部分已被满意地修复,卫星和运载火箭都具备适飞条件。
如果发射终止后,本保单项下发生部分损失索赔,保险人同意按照与首次发射同样的基础,重新对后续发射提供保障并恢复保险金额,但前提是:
(一)被保险人在事件发生后应尽快以书面形式通知保险人,明确要求恢复保险金额,该通知不得晚于后续的意向点火发生前30日,且
(二)被保险人应在后续意向点火发生前向保险人支付附加保险费,该附加保险费按照第一部分保单声明第八条规定的适用费率乘以恢复部分的保险金额计算。
发射终止后,不论是否本保单项下是否发生索赔,如果被保险人确定,该卫星后续的意向点火将不会发生在保单声明第三条规定保险期间内,则本保单将终止,并且
如果本保单项下没有发生保险索赔,并且被保险人同意放弃以后向保险人再次提出索赔的权利,保险人在保留保险金额的0.5%(百分之零点五)的保险费后不计利息地将其余保险费退还给被保险人,此退费在被保险人向保险人提出书面要求后30日内支付,或者
如果被保险人在本保单项下已提出索赔,被保险人将保留全部保险费。
二十一、告知和说明义务
在卫星发射前,作为投保告知,被保险人应向保险人提供:
(一)卫星制造商和运载火箭发射服务提供商出具的书面确认,确认卫星和运载火箭已经通过了所有质量审查和验收试验,包括发射就绪评审,而且卫星和运载火箭已经完全满足合同和发射服务协议的要求,或者如果存在,提供已知异常、超差清单和被保险人的同意弃权的书面确认副本一份提供保险人;和
(二)卫星制造商和运载火箭发射服务提供商出具的书面确认,确认所有已知的、该制造商制造的类似卫星(不论是在地面测试还是已经在轨)上,或者该运载火箭发射服务提供商使用过的类似火箭上曾经出现过的故障或异常现象,只要在本保单保险标的上存在发生的可能,都已经根据适当的质量控制程序进行了调查和改正。
在风险起期前的任何时间,如果被保险人已经知道卫星性能指标的具体要求没有被满足,和/或上述一经发现的故障或异常现象并没有完全改进,则此掌握的情况应被视为保险信息的变更,并适用于本部分第十条(承保信息的重大变更)的相关规定。
为避免疑问,如被保险人违反了本条件,则保险人有权对于此种违约相关的任何损失免于承担保险赔偿责任。
二十二、标题
本保单各部分和段落的标题,及本保单目前或将来任何批单或补充协议的标题,只是为方便起见而加入,并不应视为对其相关段落所包含的条款内容的一种限制或影响。
二十三、损失发生后卫星的使用
在保险人对全部损失或部分损失的赔付之后,经保险人事先书面同意,被保险人可以为科学、和/或试验、和/或验证、和/或偶然的通信为目的而使用卫星已经被保险赔付的部分,但前提是被保险人的上述行为没有为其创造收益、收入或任何性质的等值财物和服务,也没有减少残值的金额。上述对卫星的使用不应当成为减少赔款的理由。
二十四、满足出口许可证要求
本保单对被保险人提供下列材料的要求或义务:
(一)信息、文件或其他资料,或
(二)回答问题或索要的资料,或
(三)转移卫星所有权或控制权,
都应遵循政府批准以及出口管制法律、法规、政策的要求。如果由于政府批准程序的问题,被保险人未能获得上述批准或者不能及时提供保单项下要求的任何信息和数据,只要被保险人已经及时向有关方面提出了要求获准的申请,就不应当影响本保单项下被保险人的权利和保险人的责任。
被保险人应尽全部合理可行的努力取得或使相关方有义务提供所有必要的许可、批准,以满足被保险人根据保单规定提供上述信息或资料以及回答保险人提问或信息要求的义务。
如果在索赔过程中,政府不愿发放保险人所需信息的出口许可证,被保险人与保险人应诚信协商,寻求其他可行的途径来完成保险赔偿的评估工作。
第五部分 责任免除
本保单不负责因下列原因产生的损失、损坏或失效:
一、战争、敌对行动或在和平或战争时期发生的类似战争行为,包括为反战行为、战斗行为、或者抵抗实际的、即将来临的或预期的进攻而进行的行为,这些行为的发起人可以是:
(一)任何政府或主权国家(不论名义上的还是实际上的);或
(二)任何保持或使用陆军、海军或空军的当局;或
(三)陆军、海军或空军;或
(四)任何上述政府、主权国家、当局或军队的代表。
二、任何以政治或恐怖主义为目的的个人或多人的行为,而不论是否代表主权国家,也不论因此发生的损失或损害是故意的还是意外的。
三、个人或多人对卫星或运载火箭实施的、以政治或恐怖主义为目的的非法夺取或不当操纵。
四、任何反卫星装置,或使用原子或核子的裂变或聚变的装置,或使用激光或定向能量射线的装置。
五、起义、罢工、暴动、民变、叛乱、革命、内战、篡权或者政府当局为阻止、战斗或抵抗该类事件而采取的行动,不论是否宣布为战争状态。
六、任何政府、政府当局或其代表(不论秘密或公开的,也不论是国民的、军事的还是事实上的)或公共或地方当局或机构下令或根据其命令对所有权或使用权的没收、国有化、捕获、管制、扣留、占用、征用。
七、任何性质的核反应、核辐射、或放射性污染,不论损失是直接的还是间接的,除非导致损失的放射线是空间环境中自然发生的。
八、电磁或电波频段的干扰,除非这种干扰直接造成了卫星的物质损失。
九、 被保险人的董事、官员或雇员或者分包商,以造成卫星损失或失效为目的故意行为,但航射区安全官在其权限范围内做出的行为除外。
十、额外费用、其他损害或间接损失(第二部分第五条第(二)款中规定的费用除外)。
十一、第三方损害赔偿责任。
SATELLITE LAUNCH AND IN ORBIT INITIAL OPERATIONS INSURANCE
1. Named Insured

2. Loss Payee
Losses payable under this Policy shall be adjusted with the Named Insured and shall be payable to the Named Insured, as loss payee.
3. Policy Period
From XXXX to XXXX at 00:01 hours local standard time at the address of the Named Insured.
4. Amount of Insurance
The Amount of Insurance hereunder is an agreed value of XXXX. The Amount of Insurance may be amended as required by the Named Insured provided that such amendment is notified to the Insurers at least 30 days prior to Attachment of Risk and provided that the final amount of insurance is no less than 80% of the Agreed Value stated above.
5. Attachment of Risk
Risk of loss under this Policy shall attach at Intentional Ignition, provided Intentional Ignition occurs during the Policy Period.
6. Termination of Risk
Risk of loss under this Policy shall terminate upon the earliest of the following:
a. at 00:01 hours on the 366th day local time at the Address of the Named Insured following Launch; or
b. when the Satellite is agreed to be a Constructive Total Loss or a Total Loss under this Policy; or
c. when agreed claims under this Policy for the Satellite equal the Amount of Insurance; or
d. at the expiration of the Policy Period; or
e. at Terminated Ignition, subject to Condition 24. (Reinstatement Of Coverage Following Terminated Ignition)
In the event that Attachment of Risk occurs during the Policy Period but insufficient time remains for a. above to occur before the Policy Period expires, the Insurers agree to extend the Policy Period to expire upon the earliest of a., b. or c. above.
7. Premium
Premium is USD[ ], calculated by applying the rate of [ ]% to the Amount of Insurance of USD[ ].
A deposit of 5% of the Premium is payable within thirty days of the commencement of the Policy Period.
The remaining 95% of the Premium is payable thirty days prior to the Scheduled Launch Date for the Satellite (as provided in Declaration 8.).
The premium is deemed fully earned at Attachment of Risk except in the event of a Terminated Ignition. In the event of a Terminated Ignition premium will be earned in accordance with Condition 24. (Reinstatement Of Coverage Following Terminated Ignition).
Should the Attachment of Risk not occur before the end of the Policy Period, the Insurers recognise that risk will not attach under this Policy. In this case, the Insurers agree to return any premium they have received pursuant to the Policy, without interest, within thirty (30) days of notification from the Named Insured that Attachment of Risk will not occur prior to the end of the Policy Period.
If the premium has been paid to the Insurers, and the Satellite’s Scheduled Launch Date is delayed more than three (3) calendar months, at the Named Insured’s request, the Insurers will return ninety five percent (95%) of the premium without interest. This return of ninety five percent (95%) of the premium will be paid by the Insurers within thirty (30) days from the date they receive the Named Insured’s written request for such return. This ninety five percent (95%) of the premium due for the Satellite will again become payable thirty (30) days before the rescheduled launch date for the Satellite.

INSURING AGREEMENT
In consideration of the payment of the Premium, in reliance upon the statements in the Declarations and in the Underwriting Information provided to the Insurers, and subject to all of the terms, conditions, limitations and exclusions of this Policy, the Insurers agree as follows:
a. In the event of a Partial Loss occurring between Attachment of Risk and Termination of Risk, to pay the Named Insured the Partial Loss Amount.
b. In the event of a Constructive Total Loss or a Total Loss occurring between Attachment of Risk and Termination of Risk, to pay the Named Insured the Amount of Insurance. However, in the event of a Constructive Total Loss, the Named Insured shall have the option to claim a Partial Loss instead, in which case the amount of the claim shall be calculated in accordance with the definition of Partial Loss Amount. Such a claim of a Partial Loss shall be deemed irrevocable in respect of such loss event and the associated reduction in Available Communications Capacity only, and no subsequent Constructive Total Loss can be filed in respect thereof. Opting to claim a Partial Loss shall not affect the Named Insured’s right to make a claim for any subsequent Partial Loss, Constructive Total Loss and/or Total Loss, provided the total amount paid for all claims hereunder shall not exceed the maximum Amount of Insurance.
c. In the event of a Terminated Ignition, to indemnify the Named Insured up to the Amount of Insurance for all costs resulting from the Terminated Ignition which are directly incurred by the Named Insured in transporting, repairing, replacing, re-testing and restoring the Satellite and Launch Vehicle to flightworthycondition, such that a subsequent Intentional Ignition can occur.
In the event of such other loss of the Satellite’s communications capacity, caused by loss of, damage to or failure of the Satellite or any part thereof, not contemplated by the definition of Partial Loss, Total Loss or Constructive Total Loss, the Named Insured shall make a claim on a alternative basis provided that the Named Insured, using reasonable judgment and after examining all the technical alternatives for correcting the failure, clearly demonstrates to the Insurers that the Satellite cannot be used for its intended communications purposes.
Except as provided by Condition 20 (Corrective Measures) of this Policy, in no event shall the total amount paid for claims under this Policy exceed the Amount of Insurance as stated in Declaration 4 (Amount of Insurance) of this Policy.
A Total Loss, Constructive Total Loss or a Partial Loss shall not be deemed to have occurred unless the loss of, damage to or failure of the Satellite or its Launch Vehicle causing such Total Loss, Constructive Total Loss or Partial Loss has first manifested itself by telemetry or payload performance data or lack thereof, or any other ground measurement, recorded between Attachment of Risk and Termination of Risk, and the Named Insured has complied with Condition 3 (Named Insured’s Duties) of this Policy. For the avoidance of doubt, it is specified that the Named Insured may use data recorded after Termination of Risk but solely for the purpose of quantifying a loss.
In the event that the Named Insured has previously been indemnified for a loss under this Policy, the amount of indemnity for a subsequent loss shall be adjusted to eliminate any duplicative recovery for loss.
In the event of a loss resulting in a claim under this Policy where the Satellite can be operated in any one of several configurations, calculation of the Available Communications Capacity will be based on the satellite configuration that, consistent with the Named Insured’s intended communications purposes, maximizes the Available Communications Capacity and minimizes the claim amount.
The calculation of the claim hereunder shall be determined in accordance with the preceding paragraph whatever actual configuration of operation of the Satellite has been selected by the Named Insured.
1. Available Communications Capacity
"Available Communications Capacity" means the sum of the Expected Transponder Life of all Transponders.
2. Constructive Total Loss
"Constructive Total Loss" means Available Communications Capacity is equal to or less than twenty-five percent (25%) of Stated Communications Capacity.
3. Contract
"Contract" means the Contract dated as of XXXX between XXXXXX and XXXXXX for the Satellite including each Amendment thereof. Any additional amendment, modification or change shall be subject to the terms of Condition 17 (Material Chang).
4. Expected Transponder Life
"Expected Transponder Life" means, for any Transponder, the span of time, measured in Transponder-Years (and any portion thereof), calculated from the earlier of:
a. sixty (60) days after Launch; or
b. acceptance or rejection of the Satellite by the Named Insured, pursuant to Article [TO BE ADVISED] of the Contract
until the earlier of:
a. the end of Stated Satellite Life for the Satellite; or
b. the time when the Transponder is a Transponder Failure.
5. Intentional Ignition
“Intentional Ignition” means the start of the ignition process for the purpose of Launch, which is the time at which the command signal is sent to the Launch Vehicle.
6. Launch
"Launch" means the Intentional Ignition of the first stage engines of the Launch Vehicle followed by either lift-off or a Total Loss or Constructive Total Loss.
7. Launch Vehicle
"Launch Vehicle" means the Long March 3B enhanced launch vehicle used to launch the Satellite pursuant to and in accordance with the Contract.
8. Partial Loss
"Partial Loss" means the Available Communications Capacity is less than the Stated Communications Capacity where such reduction in Available Communications Capacity does not result in a Constructive Total Loss or Total Loss.
9. Partial Loss Amount
"Partial Loss Amount" means an amount calculated as follows:
(Amount of Insurance) x [1 – (ACC/SCC)]
where:
ACC = Available Communications Capacity
SCC = Stated Communications Capacity.
10. Satellite
"Satellite" means the XXX based spacecraft manufactured by XXXXX. and specified under the Contract as XXX.
11. Satellite Performance Specifications
"Satellite Performance Specifications" means the Performance Specification contained in Annex 2 to the Contract.
12. Stated Communications Capacity
"Stated Communications Capacity" means the product of Stated Satellite Life and the number of Transponders on the Satellite, which is equal to 420 Transponder-Years when Stated Satellite Life equals 15 years and the number of Transponders equals 28. If the final pre-launch power budget estimated on a nominal basis for the Satellite does not demonstrate a margin of at least 7.5% at all times during Satellite Life, the Stated Communications Capacity shall be reduced to restore such 7.5% margin inclusive of and not additional to any margin technically available.
13. Stated Satellite Life
"Stated Satellite Life" means the XXX year period measured from the earlier of:
a. sixty (60) days after Launch; or
b. acceptance or rejection of the Satellite by the Named Insured, pursuant to Article 10 of the Contract.
If the final pre-launch propellant budget estimated on a 3 sigma worst case basis for the Satellite does not demonstrate a margin of at least one (1) year, the Stated Satellite Life shall be reduced to be less than 15 years so as to restore such one (1) year margin inclusive of and not additional to any margin technically available.
14. Terminated Ignition
"Terminated Ignition" shall mean, that following the time when the electronic signal is sent to command the opening of any first stage propellant valves, the first stage engines of the Launch Vehicle do not ignite or have been shut down for any reason prior to lift-off and the Satellite is not a Total Loss or a Constructive Total Loss.
The effective moment of such Terminated Ignition is the moment when the
pad reaches such level of safety as existed immediately prior to Attachment of Risk.
15. Total Loss
"Total Loss" means the complete loss, destruction or failure of the Satellite or the Satellite is unable to reach and maintain its assigned geostationary orbital location.
16. Transponder
"Transponder" means individually those sets of equipment within the communications payload subsystem of the Satellite that provide a discrete path to receive communications signals from Earth, translate and amplify such signals, and transmit them to Earth.
A Transponder shall mean, for the Satellite, any one of the 14 C-band, 12 Ku-band or 2 Ka-band Transponders on the Satellite.
17. Transponder Failure
"Transponder Failure" means, due to an event of loss of, damage to or failure of the Satellite or any part thereof recorded by telemetry or payload performance data or lack thereof or any other ground measurement between Attachment of Risk and Termination of Risk, permanent failure (including permanently intermittent failures) of a Transponder to meet the requirements of the Satellite Performance Specifications provided that the Named Insured, using reasonable judgment and after examining all reasonable technical alternatives for correcting the failure:
a. demonstrates that the Transponder cannot or will not be able to be used for its intended communications purposes up to the end of Stated Satellite Life; or
b. demonstrates through telemetry data, in-orbit tests, or other evidence that the Transponder is expected to fail to be usable for its intended communications purposes before the end of Stated Satellite Life.
All available redundant and/or spare components and/or margins on the Satellite applicable to the Transponder must be used or cease to be available for use before a Transponder is considered to be a Transponder Failure.
The effective time of the Transponder Failure shall be the time when the Transponder actually fails, or can be demonstrated to be expected to fail, to meet the requirements of the Satellite Performance Specifications and clause a. or b. of this definition is also satisfied.
18. Transponder-Year
"Transponder-Year" means a period of time, calculated as the sum of whole years and fractions of years, if any, during which the Transponder is not a Transponder Failure.
19. Underwriting Information
"Underwriting Information" means documentation provided to the Insurers by or on behalf of the Named Insured with respect to the subject matter of this Policy.
CONDITIONS
1. Declarations
By the acceptance of this Policy, the Named Insured agrees that the statements in the Declarations and the Underwriting Information are its agreements and representations, and are true, and that this Policy is issued in reliance upon such agreements and the truth of such representations. This Policy embodies all agreements existing between the Named Insured and the Insurers relating to the subject matter of this Policy.
2. Due Diligence
The Named Insured shall use due diligence and do and concur in doing all things reasonably practicable to avoid or diminish any loss under this Policy and shall act at all times as if uninsured.
3. Named Insured’s Duties
Should an event be likely to result in a claim under this Policy, the Named Insured shall:
a. file a notice of potential claim with the Insurers. The notice of potential claim shall:
i. be in writing and contain sufficient particulars to identify the Named Insured and all reasonably obtainable information describing the circumstances of the event as appropriate; and
ii. be filed with the Insurers as soon as practicable but not later than the earlier of:
A. thirty (30) days after the officers of the Named Insured and/or the Satellite program manager of the Named Insured become aware of the event; or
B. thirty (30) days after Termination of Risk.
b. if a claim is to be made with respect to the Satellite, file a proof of loss with the Insurers as soon as practicable but in any event no later than one hundred and eighty (180) days after filing the applicable notice of potential claim with the Insurers unless the Named Insured and Insurers mutually agree to an extension of the time period for filing such proof of loss.
The proof of loss shall:
i. state the date, time, nature and probable cause(s) of each event that results in a claim;
ii. state the basis for the amount of the claim;
iii. establish the event by telemetry data or lack thereof, or any other ground measurement, recorded between Attachment of Risk and Termination of Risk;
iv. be signed and sworn to by an officer of the Named Insured;
v. be notarised as to the signatory of the proof of loss; and
vi. include such other information as the Insurers may reasonably require or request, in accordance with Condition 4 (Access to Information).
The Insurers shall accept, reject, or request further clarification regarding a filed proof of loss within thirty (30) days of its receipt.
4. Access To Information
The Named Insured shall respond to all specific reasonable requests from the Insurers regarding the design, test, manufacturing, quality control and performance information available to the Named Insured relating to the subject matter of this Policy.
In the event that a notice of potential claim is filed under Condition 3 (Named Insured’s Duties), the Named Insured shall do the following:
a. at the Insurers’ request, conduct review sessions with the Insurers to discuss any issues relating to the potential claim;
b. do all things reasonably practicable to secure for the Insurers’ access to all information used in or resulting from any investigation or review of the causes or effects of the loss or failure; and
c. do all things reasonably practicable to make available to the Insurers for inspection and copying all information necessary to establish the loss and understand the accounting methods employed to compute any return or recovery claim payment.
To the extent that any information requested by the Insurers in accordance with this Condition is subject to proprietary information provisions, non-disclosure agreements or disclosure restrictions under any export license issued by any government in connection with any contracts between the Named Insured and its contractors or sub-contractors or in connection with any such requested information, the Named Insured shall do all things reasonably practicable to obtain permission to disclose such information. The Named Insured’s rights shall not be affected by delays due to the relevant government’s approval process, in the delivery of any data or information required or requested under this Policy, nor shall any such delay relieve the Named Insured from any of its duties under this Policy.
5. Claims Payment
Payment for a loss shall be made by the Insurers as soon as practicable but in no event later than thirty (30) days after the Insurers agree to the applicable proof of loss.
6. Arbitration
Any dispute arising from this Policy, including any question regarding its existence, validity or termination, the Named Insured and the Insurer shall attempt to resolve such dispute through friendly consultation. If the parties are unable to resolve the matter in dispute through consultation within 30 days following the date on which one party's request for consultation is delivered to the other party, the dispute shall be finally settled in conformance with the Law specified in Condition 17 and under the Rules of Arbitration of the International Chamber of Commerce by 3 arbitrators appointed in accordance with the said Rules. The Arbitration shall be in the XXX language.
The tribunal shall consist of three arbitrators and the respective parties shall each nominate one impartial arbitrator. The third arbitrator will be selected by the two arbitrators so chosen.
Arbitration proceedings shall take place in XXXX. The arbitration award shall be final and binding on the parties and judgement may be entered thereon, upon application of either party, by any court having jurisdiction.
7. Abandonment
There shall be no abandonment of any property to the Insurers unless the Insurers give their written consent.
8. Subrogation
In the event of any payment under the Policy, the Insurers shall be subrogated to all of the insured’s rights of recovery thereof against any person or organization and the Insured shall execute and deliver instruments and papers and do whatever else is necessary to secure such rights. The Insurers agree that they will not exercise such right of subrogation or transfer or rights against:
a. Any corporation, firm, individual, or other interest that the Insured has agreed, prior to loss, to waive responsibility for loss or damage or has agreed to include as Additional Insured, or against any subsidiary company or any company managed by such insured;
b. The country of the Contractor or others as may be required, as governed by contractual requirements;
c. The Republic, its permitted assigns, directors, officers, employees, consultants and/or agents;
d. Contractors, Subcontractors and carriers who have entered into an agreement to provide work or services with any entity named in Sections (1), (2) and/or (3) of this Paragraph;
e. Other users of related launch services, their respective contractors, Subcontractors and carriers.
After inception of the Policy, the Named Insured shall not agree to any further waiver of rights of subrogation relating to the subject matter of this Policy without the prior written consent of the Insurers.
9. Changes
Notice to or knowledge possessed by any agent or other person shall not affect a waiver or change in any part of this Policy nor estop the Insurers nor the Named Insured from asserting any right under the terms of this Policy.
The terms of this Policy may be waived or changed only upon mutual agreement between the Named Insured and the Insurers and shall be evidenced by an endorsement issued by the Insurers to form a part of this Policy.
10. Assignment
The Insurers shall not be bound by any assignment of interest under this Policy unless the Named Insured obtains the written agreement of the Insurers prior to such assignment, which agreement shall not be unreasonably withheld.
11. Misrepresentation and Fraud
This Policy shall be null and void if the Named Insured knowingly conceals or misrepresents, in writing or otherwise, any material fact or circumstance concerning the insurance provided under this Policy or the subject matter hereof.
This Policy shall also be null and void if the Named Insured defrauds or attempts to defraud the Insurers whether before or after loss.
In the event of this Policy being declared null and void by the Insurers in accordance with their right pursuant to this Condition, the Insurers shall notify the Named Insured in writing and this Policy will become null and void ab initio.
12. Cancellation
This Policy may be cancelled only by mutual agreement between the Named Insured and the Insurers, or unilaterally by the Insurers for non-payment of Premium.
In the event of non-payment of premium, the Insurers shall provide written notice to the Named Insured as stated in Condition 23 (Notices) of such cancellation stating a date when, not less than fifteen (15) days thereafter, such cancellation shall be effective. In the event that the due premium is paid in full within the notice period, the applicable notice of cancellation by the Insurers shall cease to have any force or effect.
13. Return of Claim Payment
Where:
a. a claim payment has been made under this Policy; and
b. the Insurers and the Named Insured subsequently agree in writing to reduce or eliminate the claim because of new information or events occurring after payment of the claim by the Insurers,
the Named Insured shall return to the Insurers, within forty-five (45) days of such an agreement, all amounts, without interest, by which the claim has been reduced or eliminated.
Reasonable sums expended by the Named Insured to reduce or eliminate the loss shall be deducted from any claim payments returnable to the Insurers pursuant to this Condition. The applicable Amount of Insurance will be reinstated to the extent of the agreed amount by which the claim has been reduced or eliminated from the date of the event giving rise to such claim.
14. Salvage
The Insurers shall have, at their option, the right to receive the maximum salvage, if any, from or take title to the Satellite provided that the Insurers have paid a claim for a Constructive Total Loss or a Total Loss or, the right to receive the maximum salvage from the portion of the Satellite provided that the Insurers have paid a claim for Partial Loss.
With the written consent of the Insurers the Named Insured may continue to operate that portion of capacity of the Satellite for which a claim for a Partial Loss is paid hereunder, in which case, the Insurers shall receive ninety percent (90%) of the net income from that portion of capacity of the Satellite for which a claim has been paid hereunder which the Named Insured continues to operate or of the fair market value of equivalent goods or services derived with respect to such capacity after the said loss is paid, up to the amount of the payments made by the Insurers in respect of such capacity of the Satellite under this Policy.
In the event that the Named Insured with the consent of the Insurers sells, leases or otherwise disposes of:
a. the Satellite for which a claim for a Constructive Total Loss or a Total Loss is paid hereunder; or
b. the portion of Satellite life or capacity of the Satellite for which a claim for Partial Loss is paid hereunder,
the Insurers shall receive one hundred percent (100%) of the proceeds of the sale, lease or disposal up to the amount of payment made by the Insurers the Satellite or portion of the Satellite life or capacity of the Satellite for which a claim was paid under this Policy. The Named Insured shall be permitted to deduct a handling commission of ten percent (10%) from any such proceeds.
The Insurers acknowledge and agree that in the event that they have paid a claim for a Constructive Total Loss or a Total Loss and taken title to the Satellite and they decide to offer the Satellite for sale pursuant to the exercise of the Insurers’ rights under this Condition 14, the Insurers shall meet with the Named Insured for discussions about the business and financial issues associated with the offer for sale, including the following conditions:
a. for a period of sixty (60) days from the date when the Insurers notify the Named Insured in writing that they plan to sell the Satellite, the Insurers shall offer the Named Insured the exclusive first right to purchase the Satellite. In the event that the Named Insured and the Insurers fail to agree on a purchase price during the above-mentioned period, thereafter the Insurers shall have the right to offer the Satellite for sale to any party.
b. the Named Insured shall provide to the Insurers such documents as are necessary to operate the Satellite and/or sell the Satellite to a third party provided that the Insurers and/or third party purchaser of the Satellite execute non-disclosure agreements required by the owners of such documents and comply with any applicable export license relating to the Satellite.
c. If the Insurers take title to the Satellite, it shall be removed from its orbital location at the cost of the Insurers as soon as reasonably practicable after the Named Insured requests such removal.
If the Insurers have not confirmed their decision to take title to the Satellite in accordance with this Condition 14 at the time of the Insurers’ agreement to the Named Insured’s proof of loss for a Constructive Total Loss or Total Loss, the Insurers shall be deemed to have waived their rights to take title to the Satellite and the Named Insured shall have no further duty to manage, control or maintain the Satellite. Furthermore, if the Insurers elect to take title as provided in this Condition 14, the Named Insured’s duty to manage, control or maintain the Satellite shall cease two (2) months after such election, provided that the Named Insured has fulfilled its obligations under paragraph b. of this Condition 14.
15. Use of the Satellite After Loss
The Named Insured may use the Satellite and/or that portion for which a claim for Constructive Total Loss or Partial Loss is paid hereunder for scientific and/or incidental communications purposes that do not produce operating revenue or income of any nature. Such use shall:
a. be subject to the prior written agreement of the Insurers; and
b. not reduce claim payments made by the Insurers or affect salvage rights under this Policy.
16. Titles
The titles of the various sections and paragraphs of this Policy, and of any endorsements or supplemental agreements attached to or incorporated into this Policy, are inserted solely for convenience and shall not be deemed to define, limit or otherwise affect the terms contained in the paragraphs to which they relate.
17. Material Changes
If the Named Insured shall:
a. amend the Contract, or waive or modify any of the material technical specifications or requirements of the Satellite Performance Specifications; or
b. become aware of any material change in any of the Underwriting Information previously provided to the Insurers,
the Named Insured shall promptly notify the Insurers of such amendment, material waiver, modification or change. The Insurers shall then advise the Named Insured in writing within (30) days after receipt of such notification or before Attachment of Risk, if sooner subject to Insurers having a minimum of one business day to review such notification, if, in the Insurers’ reasonable opinion, such amendment, material waiver, modification or change results in a material increase in risk of loss or material change in insurable interest under this Policy. In such event, the Insurers shall have the right to review all of the terms and conditions of this Policy with the Named Insured and to re-negotiate the affected terms under this Policy.
Unless and until such re-negotiations result in the Insurers agreeing to cover the ramifications of such amendment, material waiver, modification or change, any loss resulting from the amendment, material waiver, modification or change shall not be covered by this Policy. In the event such renegotiations are not or appear unlikely to be concluded to the satisfaction of the Named Insured, at the Named Insured's option, cover under this Policy may be cancelled and all Premium paid to the Insurer(s) shall be returned as soon as practicable. If the Insurers do not notify the Named Insured in writing within the period envisioned in the immediately preceding paragraph, the Insurers shall be deemed to have accepted the amendment, material waiver, modification or change.
If the Named Insured does not so notify the Insurers as required above, any loss resulting directly from any amendment, material waiver, modification or change shall not be covered by this Policy.
Total Loss, Constructive Total Loss, Partial Loss or change in health status of the Satellite that occurs after Attachment of Risk will not be considered a change of risk of loss or insurable interest under this Policy giving the Insurers the right to renegotiate the affected terms.
18. Governing Law and Jurisdiction
This Policy shall be governed by and construed in accordance with the laws of XXX. without reference to their choice of law provisions.
Any dispute or matter which requires reference to a court arising out of or relating to an arbitration, or falling outside the scope arbitration, shall be submitted to the exclusive jurisdiction of the courts of XXX.
19. Other Insurance
With the prior approval of the Insurers, the Named Insured may secure other launch and in orbit operations insurance for the Satellite. Unless otherwise agreed by the Insurers, in the event the Named Insured recovers on claims in respect of the Satellite under one or more policies for which the Named Insured also recovers under this Policy, the Named Insured's recovery under this Policy shall be reduced by a proportional amount reflecting such other recoveries.
The Insurers acknowledge and hereby agree that the Named Insured may secure other launch and in orbit operations total and constructive total loss only insurance for the Satellite which shall not affect or give rise to a reduction in the amount of any claim payable under this Policy.
20. Corrective Measures
In the case of a claim payable under this Policy that, within reasonable time, can be satisfactorily corrected or compensated for as agreed by the Insurers and the Named Insured (such agreement not to be unreasonably withheld by either party) by additional ground installations, procedural changes, software development or any other reasonable corrective measures, the Insurers shall at their choice either:
a. pay the Named Insured as set forth in the Insuring Agreement; or
b. indemnify all necessary expenses incurred by the Named Insured as a result of the corrective measures.
In the event that such corrective measures as stated above are implemented, but such measures do not achieve satisfactory correction of or compensation for the loss, the Insurers will bear the necessarily incurred cost and expense in addition to the applicable Amount of Insurance or, in the event of Partial Loss, in addition to the amount of the claim payable.
21. Inspection and Audit
In the event that the Named Insured makes a claim under this Policy, subject to Condition 4 (Access to Information), the Insurers, through their authorised representative, shall be privileged to inspect the books and records of the Named Insured pertaining to the subject matter of this insurance during the Policy Period or within a period of up to three years after a claim is made under this Policy.
22. Action Against the Insurers
In the event the Named Insured files a proof of loss, no action shall lie against the Insurers until sixty (60) days after the proof of loss is filed in accordance with Condition 3 (Named Insured's Duties) of this Policy.
23. Notifications
All notifications and other communications must be sent in writing by certified mail or fax or delivered personally to the following address:

or to any other address that may be specified in writing at any time in the future.
The addressee shall promptly forward such notification or other communication to the Named Insured and/or the Insurers, as applicable, and such notification or other communication shall be effective as to the Insurers or the Named Insured upon the applicable party’s receipt thereof.
24. Reinstatement Of Coverage Following Terminated Ignition
a.In the event of a Terminated Ignition such that a subsequent Intentional Ignition can occur during the Policy Period and there is no apparent damage to either the Launch Vehicle or the Satellite and no claim is filed hereunder, the Insurers agree to reattach coverage to the full amount under this policy if the Named Insured provides the Insurers as its certification, certification from the Launch Vehicle manufacturer and the Satellite manufacturer that, to the best of their knowledge and belief, no damage to the Launch Vehicle or the Satellite respectively has occurred and the Satellite and Launch Vehicle are in flightworthy condition.
b. In the event of a Terminated Ignition which results in damage to either the Satellite and/or the Launch Vehicle but not a Total Loss or Constructive Total Loss, the Insurers agree to reattach coverage under this policy if the Named Insured provides the Insurers as its certification, certification from the Satellite manufacturer and the Launch Vehicle manufacturer, that to the best of their knowledge and belief, the damage has been satisfactorily repaired and the Satellite and Launch Vehicle are in flight-worthy condition.
.c In the event of a Terminated Ignition which results in a claim under this policy but not a Total Loss or Constructive Total Loss, Insurers agree to reinstate the Amount of Insurance upon receipt of a request to do so from the Named Insured prior to the subsequent Intentional Ignition if the Named Insured pays the Insurers an additional premium calculated at a rate of X%, applied to the amount of indemnification paid under Insuring Agreement subparagraph (d). This premium will be paid as soon as practicable, but in no event later than five (5) business days after the subsequent Intentional Ignition. The Named Insured shall also provide the Insurers as its certification, certification from the Satellite manufacturer and the Launch Vehicle manufacturer, that to the best of their knowledge and belief, the damage has been satisfactorily repaired.
d. In the event of a Terminated Ignition such that the Named Insured determines that a subsequent Intentional Ignition will not occur under this policy, this policy shall terminate and:
i In the event the Named Insured does not make a claim for loss arising between Attachment of Risk and said Terminated Ignition, the Insurers will retain premium calculated at a rate of 0.50% applied to the Amount of Insurance, and return all other premium paid hereunder for the Satellite, without interest, within thirty (30) days from the date the Insurers are advised accordingly by the Named Insured; or
ii In the event the Named Insured has made a claim for loss arising between Attachment of Risk and said Terminated Ignition, the Insurers will earn full premium hereunder.
EXCLUSIONS
This Policy does not apply to:
1. loss, damage or failure caused by or resulting from war, hostile or warlike action in time of peace or war, including action in hindering, combating or defending against an actual, impending or expected attack by:
a. any government or sovereign power (de jure or de facto);
b. any authority maintaining or using a military, naval or air force;
c. any military, naval or air force; or
d. any agent of such government, power, authority or force.
2. loss, damage or failure caused by or resulting from any anti-satellite device, or device employing atomic or nuclear fission and/or fusion, or device employing laser or directed energy beams.
3. loss, damage or failure caused by or resulting from insurrection, strikes, riots, civil commotion, rebellion, revolution, civil war, usurpation or action taken by a government or governmental authority in hindering, combating or defending against such an occurrence, whether there be a declaration of war or not.
4. loss, damage, or failure caused by or resulting from any act of one or more persons, whether or not agents of a sovereign power, for political or terrorist purposes and whether the loss or damage resulting therefrom is accidental or intentional.
5. loss, damage or failure caused by or resulting from confiscation, nationalization, seizure, restraint, detention, appropriation, requisition for title or use by or under the order of any government or governmental authority or agent (whether secret or otherwise and/or whether civil, military or de facto) or public authority or agency.
6. loss, damage or failure caused by or resulting from unlawful seizure, unlawful interference in or wrongful exercise of control of a Satellite and/or Launch Vehicle including any attempt at such seizure, control or interference made by any person or persons for political or terrorist purposes.
7. loss, damage or failure caused by or resulting from nuclear reaction, nuclear radiation or radioactive contamination of any nature, whether such loss or damage is direct or indirect, except for radiation naturally occurring in the space environment.
8. loss, damage or failure caused by or resulting from electromagnetic or radio frequency interference, except for physical damage to the Satellite or any Transponder directly resulting from such interference.
9. loss, damage or failure caused by or resulting from wilful or intentional acts of the Named Insured designed to cause loss or failure of the Satellite and/or Launch Vehicle except for the acts of the range safety officer acting within the limit of his authority; however, this exclusion shall not apply to actions of any employees, contractors or subcontractors of the Named Insured while acting outside of their authorised responsibilities, or without the knowledge of the Named Insured.
10. loss of market, loss of revenue, extra expenses, incidental damages and/or consequential damages, except as contemplated in Insuring Agreement c. and Condition 20 (Corrective Measures).
11. liability, of whatsoever nature, to third parties.
