卫星发射第三方责任险条款
第一部分 保单声明

尽管本保单无论通过批单的方式与否保障了多个被保险人,本保单的保险人对于所有被保险人的总赔偿责任限额不应超过上述的责任限额。

保单起期之前应全部支付。
九、地域限制
无论何处。
十、免赔额
单一每次事故。
十一、风险起期
风险起期从运载火箭意向点火起开始。
十二、风险终止
保险责任于发射之后180日终止。
如果发射终止,本保单也将终止。如果本保单项下被保险人没有提出赔付要求,保险人同意在下一次的意向点火的同时恢复本保单的保险责任,但运载火箭的第一级发动机下次意向点火应在本保险期间以内,且保险责任将在发射之后180日终止。
第二部分 保险协议
基于被保险人已经交付保单声明规定的保险费,并且遵守本保单项下全部的保险条款,保险人与被保险人达成协议:
对于已安装在运载火箭上的卫星发射活动中,由本保险期间内发生的单次事故造成第三方的人身伤害和/或财产损失,和/或根据由空间物体导致损害的国际责任协定(TIAS 7762),依法由保险人代表被保险人向第三方支付赔偿金。
此外:
一、保险人有权利和义务以被保险人的名义、并代表被保险人对向被保险人提出的诉讼或其他法律行动进行辩护,即使有关指控是无根据的、错误的或欺诈的。只要没有超过保险人责任限额,且保险人认为有利,保险人有权以自己的方式对任何索赔或者诉讼进行调查、谈判与赔付。如果超过保险人责任限额,保险人应该与被保险人商议后对该索赔或者诉讼进行调查、谈判与赔付。
二、保险人负责支付为了解除被保险人的财产扣押所需的保证金,此金额最高不应超过保单适用的责任限额,保险人还负责支付任何抗辩过程中所要求的保证金,但保险人没有任何义务申请或提供这样的担保。
三、如果法庭的判决金额不超过本保单所述的保险人的适用责任限额,保险人将支付在任何上述诉讼或其他法律程序中对被保险人征收的费用和从判决到保险人在法庭上支付、提供或预付判决金额期间产生的利息。如果法庭的判决金额超过了保险人的适用责任限额,则保险人将只承担适用的责任限额与判决金额之间按比例分摊的上述费用和利息。
四、保险人负责支付被保险人在事故发生时对第三方进行必要的紧急医疗救护或治疗所发生的费用。
五、保险人负责支付保险人用于调查、理算和应诉所产生的一切费用,偿付被保险人和其他有相关权利或利益的被保险人应保险人要求所发生的一切合理费用。
在此之下发生的费用,除去用于支付赔款外,应由保险人在第一部分(保单声明)中第七条所列责任限额之外支付。
第三部分 定义
一、相关方
“相关方”是指运载火箭或卫星的制造承包商、次承包商、供应商
二、人身伤害
“人身伤害”是指身体伤害、身体不适或疾病、精神紧张或痛苦、惶恐、震惊,包括由上述身体伤害、身体不适或疾病造成的在随后任何时间的死亡。
三、财产损失
“财产损失”是指有形财产的物质损失或损害,包括无法使用的情况。
四、发射国
“发射国”所指含义应与《空间物体造成损害国际责任公约》(1972年)中一致。
五、事故
“事故”是指发生保险期间以内,意外导致人身伤害或财产损失的一次事故或情况,或连续、或重复发生的风险。由单次意外或事件引起的一系列相互关联的事故应视为由本保单项下的一次“事故”。
六、卫星
“卫星”是指 卫星。
七、运载火箭
运载火箭是指为发射上述卫星的长征系列运载火箭。
八、意向性点火
“意向性点火”是指以执行发射任务为目的的点火程序的开始,时间为指令信号发送到运载火箭的时候。
九、发射
“发射”是指运载火箭第一级发动机意向性点火后升空或者发生全损或推定全损。
十、预定落区
“预定落区”是指运载火箭使用后的掉落的四个区域,即助推器、第一级发动机、载荷整流罩、第二级发动机掉落的中心地带为以下坐标:

第四部分 保险条件
一、声明
被保险人一旦接受本保单,即意味着同意将保单声明中的陈述内容作为其协议和意图表示,并承认本保单是在上述表示均为真实的前提下进行签发的,以及本保单体现了被保险人和保险人之间关于本保单的所有协议。
二、变更
任何代理人或其它个人占有的情报和信息均不会影响放弃或改变本保单的任何部分内容,也不能阻止保险人或被保险人维护本保单项下的权利。被保险人和保险人一旦达成协议,即可放弃或改变本保单的条款,代之以双方同意签发的批单作为本保单的一部分。本保单的内容只有在被保险人和保险人双方达成协议,并加注批单作为本保单的一部分后才能改变。
三、通知
如果发生可能导致本保单项下索赔的事故,被保险人应尽快书面通知保险人。该通知应包含可鉴别被保险人的足够细节和描述事故发生环境的所有可通过合理方式得到的资料。被保险人因疏忽没有达到上述通知要求将不会使保单失效,但是该疏忽一旦被发现,就应尽快改正。
四、克尽职守
被保险人应该一直如同风险未投保一样克尽职守,采取并赞成一切合理可行的措施避免或减少本保险项下的风险。
五、被保险人的协助与合作
被保险人应与保险人合作,在理赔或诉讼中按照保险人的要求给予协助。所有由上述保险人要求所产生的费用将由保险人支付。除非被保险人自己承担,被保险人不得自作主张支付任何费用,承担任何责任,产生任何费用,除非该费用是由医疗手术以及事故发生时其他必要的救助手段产生的。此外,保险人负责赔偿被保险人在一次事故中因被保险人为减少损失而产生的合理费用。
六、代位追偿
就本保单项下的赔付而言,被保险人应将对任何个人或组织进行追偿的所有权利转让给保险人。被保险人应签署和提交文书、文件以及完成其它必要的工作以维护该项权利,由此产生的费用由保险人承担。损失发生后,被保险人不应做任何损害该项权利的事情。被保险人应与保险人合作,并应保险人要求协助追偿、证据收集、证人出庭及诉讼,因保险人的上述要求而产生的费用由保险人承担。如保单开始生效前被保险人即已书面放弃了追偿权利,保险人则应同意免除所有向相关方和保险人同意放弃追偿的任何组织和个人进行代位追偿的权利。被保险人如未得到保险人事先书面同意,不得放弃任何追偿权。
七、注销
本保单只有经保险人和被保险人协商一致才可以注销;如果在被保险人未履行交费义务的情况下,本保单可由保险人单方面注销,且保险人应当通过挂号信件向本保单声明中所述的保险人地址发送书面注销通知,说明从何时(不早于注销通知签发日起15日)起保单失效。如果被保险人在保单失效前足额缴付了应缴保险费,则注销通知自动失效。
八、其他保险
如果被保险人、他人以被保险人名义或为被保险人的利益,为本保单所保运载火箭投保了其它有效保险,本保单将按本保单项下的保险金额占所有有效保险的全部金额的比例支付赔款,除非其它保障已得到保险人的特别许可。
九、标题
本保单不同部分和段落的标题,及本保单任何批单或补充协议的标题,只是为方便的目的,而不可视为限制或影响相关段落所包含的条款内容。
十、中华人民共和国政府的损失理赔
尽管本保单做出了其他规定,但对由1972年3月29日签署的《空间物体导致损害国际责任公约》引起的责任,中华人民共和国政府只有在与保险人协商并达成一致意见后才有权对索赔进行合理的理赔。
如果索赔或起诉针对中华人民共和国政府,中华人民共和国政府将保留合理处理上述索赔或起诉的最终权利,包括做出赔付、参与或控制对上述索赔或诉讼的辩护。
没有中华人民共和国政府事先的书面同意,保险人不替该政府作无责任辩护。
十一、等值货币条款
如果发生的损失是按第一部分(保单声明)第七条—“保险人责任限额”规定的货币之外的其他货币计算,则在计算保险人对被保险人剩余的责任限额时应使用保险人做出赔付时的汇率。
十二、适用法律
本保单受中华人民共和国司法管辖,并依照中华人民共和国法律进行解释。
十三、仲裁
被保险人和保险人间产生的本保险项下的所有争议,都应通过友好协商解决。如果双方未能通过友好协商达成一致,应当通过仲裁解决。仲裁应在中国北京进行,机构应当为中国国际经济贸易仲裁委员会,依照当时的规章制度进行。
仲裁结果可由任何拥有司法管辖权的法庭认可并执行。
十四、司法管辖
中国法庭。
十五、通知
所有通知、要求、文件和其它通信应以书面形式进行,并以挂号方式寄送、以传真接收或亲手递送至下列地址时生效:

第五部分 责任免除
本保单不负责对下列事项进行赔偿:
一、被保险人对其雇员负有的任何责任,或任何劳动者补偿、失业补偿、伤亡抚恤、平等机会等类似法律规定的被保险人对其雇员负有的任何责任。
二、对被保险人的财产,包括发射台和其他发射场地设施造成的损害。
三、卫星无法提供其计划中本应提供的通信服务。
四、被保险人作为产品制造商承担的责任。
五、AVN 48B 01.10.1996 (amended for Spacecraft)。
六、任何第三方就对任何性质的通讯系统造成的无线电频率干扰而提出的索赔。
七、对被保险人拥有、占有、租用、出租或看护、保管、控制的财产造成损坏的责任。保险人和被保险人一致同意,本除外条款不适用于任何对与发射操作有关的卫星负有责任的发射国家。
八、核风险除外条款AVN 71 22.07.1996 (amended for Space)。

SATELLITE LAUNCH THIRD PARTY LIABILITY INSURANCE
DECLARATIONS

Losses under this Policy shall be adjusted with the Insured and payable to its order.
6. Policy Period
From XXX at 00.01Am Local Standard Time at the address of the Insured.
7. Limit of Insurers' Liability
Combined single limit in respect of all Bodily Injury and/or Property Damage arising from any one Occurrence.
Notwithstanding the inclusion herein of more than one Insured, whether by endorsement or otherwise, the total liability of the Insurers in respect of all Bodily Injury and/or Property Damage arising out of any one Occurrence for any or all Insureds shall not exceed the Limits of Insurers' Liability stated herein.
8. Premium
Payable in full prior to the inception of the Policy Period.
9. Geographical Limits
Wheresoever occurring.
10. Deductible
any one Occurrence.
11. Attachment of Risk
"Attachment of Risk" shall be from Intentional Ignition of the Launch Vehicle.
12. Termination of Risk
"Termination of Risk" shall be 180 days following Launch.
In case of a Launch Termination, the Policy shall be terminated. If there is no claim made under the Policy in such case, the Insurers agree to reattach the risk at the moment of the subsequent Intentional Ignition, and the Termination of Risk shall be 180 days following the subsequent Launch, provided that such Intentional Ignition of the first engines of the Launch Vehicle shall occur within the Policy Period.
INSURING AGREEMENT
In consideration of payment of the Premium and in reliance upon statements in the Declarations and in all the underwriting information provided to the Insurers by the Insured, and subject to all of the terms, conditions, limitations and exclusions of the Policy the Insurers agree with the Insured as follows:
In respect of the launch of the Satellite on board of the Launch Vehicle, in the event of an Occurrence taking place within the Policy Period, to pay on behalf of the Insured all sums that they shall become legally obligated to pay third parties for Bodily Injury and/or Property Damage arising from such Occurrence including liability arising under the Convention on International Liability for Damage Caused by Space Objects 1972 (TIAS 7762).
Insurers will, in addition:
(a) defend at their cost and expense in the name and on behalf of the Insured or the Additional Insureds, any suit or other proceedings, even if groundless, false or fraudulent, brought against the Insured or the Additional Insureds,, alleging Bodily Injury/or Property Damage and seeking damages on account thereof; but the Insurers shall have the right to make such investigation, negotiation and settlement of any claim or suit as they deem expedient so long as the Limit of Insurer's Liability is not exceeded. In the event that the Limit of Insurer's Liability is exceeded, the Insurers shall consult with the Insured or the Additional Insureds, in structuring, negotiating and settling any such claim or suit;
(b) pay all premiums on bonds to release attachments for any amount not in excess of the applicable Limit of Liability of this Policy, all premiums on appeal bonds required in any such defended suit, but without any obligation to apply for or furnish any such bonds;
(c) pay all costs taxed against the Insured or the Additional Insureds, in any such suit or proceedings and all interest accruing after entry of judgement until the Insurers have paid, tendered or deposited in court, such part of such judgement as does not exceed the applicable Limit of the Insurers Liability: provided that in the event of the amount of such judgement exceeding the applicable limit of the Insurers’ liability, the Insurers shall only be liable to pay for that proportion of the said costs and interest which the applicable Limit of the Insurers’ Liability bears to the amount of such judgement;
(d) pay expenses incurred by the Insured or the Additional Insureds, for such immediate medical and surgical relief to third parties as shall be imperative at the time of an Occurrence;
(e) pay all expenses incurred by the Insurers for investigation, adjustment and defence, and reimburse the Insured or the Additional Insureds, for all reasonable expenses incurred at the Insurers’ request.
The amounts incurred hereunder, except settlement of claims or suits, are payable by the Insurers in addition to the Limit of Liability stated in Declarations Item 7 of this Policy.
DEFINITIONS
1. Associates
“Associates” means contractors, subcontractors, suppliers, agents and the officers, employees and agents of them and any person who has a material interest in the Launch Vehicle or in the Satellite.
2. Bodily Injury
“Bodily Injury” means bodily injury, sickness or disease, emotional distress or mental anguish, fright, shock, including death resulting from such bodily injury, sickness or disease at any time.
3. Property Damage
“Property Damage” means physical damage to or destruction of tangible property including loss of use thereof.
4. Launching State
"Launching State" shall have the same meaning as in the Convention on International Liability for Damage Caused by Space Objects, 1972.
5. Occurrence
“Occurrence” means an accident or event or continued or repeated exposure to conditions, which unexpectedly results in Bodily Injury and/or Property Damage within the Policy Period. A series of related Occurrences arising out of a single accident and/or event shall be treated as a single Occurrence hereunder.
6. Satellite
"Satellite" shall mean the satellite designated as XXX.
7. Launch Vehicle
"Launch Vehicle" shall mean the Long March launch vehicle designated to launch the Satellite.
8. Intentional Ignition
“Intentional Ignition” means the start of the ignition process for the purpose of Launch, which is the time at which the command signal is sent to the Launch Vehicle.
9. Launch
"Launch" means the Intentional Ignition of the first stage engines of the Launch Vehicle followed by either lift-off or a Total Loss or Constructive Total Loss.
10. Designated Drop Zones
“Designated Drop Zones” means the four drop zones for the spent stages of the Launch Vehicle, being the boosters, the first stage, payload fairing and second stage, with their centres located at the following co-ordinates:

CONDITIONS
1. Declarations
By acceptance of this Policy, the Insured agrees that the statements in the Declarations are its agreements and representations, that this Policy is issued in reliance upon the truth of such representations and that this Policy embodies all agreements existing between the Insured and the Insurers or any of their agents relating to this insurance.
2. Changes
Notice to or knowledge possessed by any agent or other person shall not effect a waiver nor a change nor an alteration in any part of this Policy nor estop the Insurers or the Insured from asserting any right under the terms of this Policy. The terms of this Policy may be waived or changed only by mutual agreement between the Insured and the Insurers and by an endorsement issued to form a part hereof.
3. Notice
In the event of an Occurrence likely to result in a claim under this Policy, the Insured shall give a written notice of loss as soon as possible to Insurers. Such notice shall contain sufficient particulars to identify the Insured and also reasonably obtainable information describing the circumstances of the Occurrence (the "Notice of Loss"). Inadvertent failure of the Insured to comply with this condition shall not invalidate this Policy, but such failure shall be rectified as soon as discovered.
4. Due Diligence
The Insured shall use due diligence and do and concur in doing all things reasonably practicable to avoid or diminish any loss under this Policy and shall act at all times as if uninsured.
5. Assistance and Co-operation of the Insured
The Insured shall co-operate with the Insurers and upon the Insurers' request attend hearings and trials and assist in making settlements and in the conduct of suits. Any expense incurred upon such request of the Insurers shall be paid by the Insurers. The Insured shall not, except at its own cost, voluntarily make any payment, assume any obligation or incur any expense other than for such immediate medical and surgical or other relief to others as shall be imperative at the time of an Occurrence. In addition, the Insurers shall indemnify the Insured in respect of all or any reasonable cost and expense properly incurred by the Insured as a direct result of and/or in mitigation of any loss arising from an Occurrence.
6. Subrogation
To the extent of any claim of payment under this Policy, the Insurers shall be subrogated to all of the Insured's rights of recovery thereof against any person or organisation save
