    1.有问题的付款通知/ 发票补充条款

    第一条  本补充条款的适用

    A. 如果买方对一笔应付款存在争议或疑问,且该类应付款的累计金额少于信用额度的15%,则应遵守以下规定:

     

    通知             

    B. 若该项有争议的应收款在最高延长期到期日逾期未付,被保险人不需通知保险人。

    C. 尽管该款项在最高延长期到期日逾期未付,保险人仍将继续承保与该买方签合同项下的出货(或提交的发票)。

     

    逾期应收款列表

    D. 被保险人须在每个季度将所有存在争议或疑问的,且在最高延长期到期日仍未付清的应付款列成逾期应收款明细表递交给保险人。

     

    财务困境

    E. 该补充条款不影响如下要求:被保险人必须将可能引发损失的事件或情况通知保险人。

     

    第二条  补充条款的解释

    保险合同的其他条款和规定适用于本补充条款,但任何与本补充条款矛盾之处,以本补充条款为准。

     

    QUERIED INVOICES ENDORSEMENT

     

    Paragraph 1      Application of Endorsement

     

    A. Where the buyer disputes or queries that an amount is owing, and where the cumulative total of such amounts is less than 15% of the Credit Limit, then shall apply.

     

    Notification      B. You need not notify us that such an amount is overdue at the expiry of the Maximum Extension Period.

     

    C.     Notwithstanding that such an amount is overdue at the expiry of the Maximum Extension Period, we will continue to be liable for contracts made with and goods dispatched (or invoices submitted) to that buyer.

     

    Aged Debt Listing  D. You must submit to us a quarterly aged debt listing showing all amounts which are still overdue at the expiry of the Maximum Extension Period and are the subject of queries or disputes.

     

    Financial Difficulties E. The requirement to notify us of the occurrence of any event likely to cause a loss remains unaffected by this Endorsement.

     

    Paragraph 2       Interpretation of Endorsement

     

    The stipulations and provisions of the Policy shall apply in full to this Endorsement unless they conflict, in which case the Endorsement shall prevail.

     

     

    2.预付保费的调整和最低保费

    保险人将在保险期末按照被保险人申报的业务量计算保险年度的保费总额。如果结算的保费高于预付保费,被保险人应补付所要求的差额部分。如果结算的保费低于预付保费,保险人将退还差额部分。但是,最低保费将不给予退还。

     

    PREMIUM IN ADVANCE WITH RECONCILIATION AND MINIMUM PREMIUM

    At the end of the policy period, we shall calculate the total premium due on the business you declare to us in respect of the Policy Period. If the calculated premium exceeds the Advance Premium, you shall pay the difference on demand .If the calculated premium is less than the Advance Premium, we shall refund the difference to you. However, we will retain the Minimum Premium which will not be subject to any refund.

     

     

     

    3、预付保费的调整

    保险人将在保险期末按照被保险人申报的业务量计算保险年度的保费总额。如果结算的保费高于预付保费,被保险人应补付所要求的差额部分。如果结算的保费低于预付保费,保险人将退还差额部分。

     

    PREMIUM IN ADVANCE WITH RECONCILIATION

    At the end of the policy Period, we shall calculate the total premium due on the business you declare to us in respect of the Policy Period. If the calculated premium exceeds the Advance Premium, you shall pay the difference on demand .If the calculated premium is less than the Advance Premium, we shall refund the difference to you.

     

     

    4.安卓信用信息咨询 (上海)有限公司提供信用额度评估咨询服务

    所有本保险合同下有关由我们(保险人)批复的信用额度的条款都适用于从安卓信用信息咨询(上海)有限公司获得的信用额度批复。被保险人同意指定,由安卓信用信息咨询(上海)有限公司根据被保险人提出的信用额度的申请,进行信用调查及信用额度评估。安卓信用信息咨询(上海)有限公司 提供这项信用额度咨询服务并根据保险明细表中规定的信用额度评估费直接向被保险人收取费用,但被保险人将从我们 (保险人)处收到信用额度的批单。

     

    ATRADIUS SHANGHAI AS CREDIT LIMIT SERVICE PROVIDER VARIATION

    All the provisions of your policy referring to Credit Limits obtained from us (as your Insurer) will also apply to Credit Limits obtained from Atradius Credit Information Consulting (Shanghai) Co., Ltd.

    You have agreed to the appointment of Atradius Credit Information Consulting (Shanghai) Co., Ltd.  who will perform the credit investigation and assessment, following your credit limit application. Notwithstanding that Atradius Credit Information Consulting (Shanghai) Co., Ltd. will provide this credit limit service and will charge the credit limit charges specified in the Schedule directly to you, you will receive your credit limits from us.

     

     

    5.单一信用额度收费规定

    保险人将按照保险合同明细表中规定的收费标准每年对每个申报信用额度的买方向被保险人收取一次信用额度审核费用,此费用包括所有保险人针对信用额度审核的回复,批单及每年信用额度更新。

     

    SINGLE CREDIT LIMIT CHARGES VARIATION

    We shall charge you only once per buyer per year at the rates specified in Schedule for all responses, decisions and yearly reviews we give in respect of Credit Limits from us.

     

     

    6.固定信用额度审核费用

    人民币****将作为本保险合同年度最终固定的全部信用额度审核费用。

     

     

    UP FRONT CREDIT LIMIT CHARGES

    Payment of CNY***** shall be deemed to be a full and final settlement of all Credit Limit Charges for this Policy Period.

     

     

    7.保单名词定义的特殊应用

    在本保险合同中提及的“***天的最高信用期限”只适用于*******。对于其**部门,最高信用期限为**天。

     

    RESTRICTED APPLICATION OF POLICY WORDING

    The “Maximum Credit Terms” referred to in this Schedule shall

    only apply to the *****,for the **division of this company the Maximum Credit Term are ** days.

     

     

    8、指定赔款接受人约定

    保险人确认所有保险合同项下的赔款款项将会直接支付给*银行名称 与 地址(指定赔款接受人),但是, 被保险人在保险合同项下的义务不受此约定的任何影响。

     

    NOMINATION OF LOSS PAYEE VARIATION

    We acknowledge that all claims payments are to be made to * Name and Address of the Bank ( the Nominated Loss Payee)

    However, your obligations under the policy remain unaffected.

     

     

    9.贸易融资条款

    第一条   本补充条款的使用

    本条款适用于任何本保单所承保的合同,且 中国银行, 作为“融资方”已经从保单明细中指明的被保险人处收购了在这些所承保的合同项下的债务,汇票或本票等。

     

    第二条    共同被保险人

    融资方须为本保单项下的共同被保险人。除非另外规定,被保险人与融资方须共同履行连带义务。 

     

    第三条    赔付指定

    融资方可以以书面的形式指定自己作为独立的一方来向保险人提交索赔申请,对索赔进行协商并达成解决方案。否则索赔申请的提交,对索赔进行协商及解决方案的达成仍视为是被保险人的责任,且融资方必须遵守保险人与被保险人之间达成的赔偿协议和方案。

     

    第四条  赔付

    A赔付金及其他任何应由保险人支付的费用都将支付给融资方,融资方收到所有的赔付后,即视为保险人履行了对被保险人的全部责任或是支付了所有到期应付款。

     

    B 当融资方超过一个,并且在保单项下有一个或多个指定的赔付方时,无论是否有贸易融资的附加条款,只有当多方通过协议或其它形式达成统一后,保险人才会支付赔偿。

     

    第五条  保险合同管理

    被保险人,而非融资方,有权利和义务执行保单条款(包括支付保费,提交所有申请与业务申报及其他通知等)。同时保险人也只将所有的通知和与保单相关的信息发送给被保险人。赔付申请应由被保险人提出, 除非融资方已在上述第三条条款下指定自己作为赔付方,在这种情况下保险人将直接与融资方就赔付事宜进行联系。融资方将得到保单明细的副件。

     

    第六条  保险合同条款的更改

    没有融资方的同意,被保险人不能与被保险人商议更改保险合同及条款(信用额度审批除外)。

     

    第七条  附加条款的解释

    保险合同的其他条款和规定适用于本附加条款,但任何与本附加条款矛盾之处,以本附加条款为准。

     

    TRADE FINANCE ENDORSEMENT

    Paragraph 1  Application of Endorsement

    This Endorsement applies to any contract covered by the policy where Bank of China, the "Financier" has purchased from you, the insured as presently named in Schedule, debts or bills of exchange or promissory notes.

     

    Paragraph 2  Joint-Insured

    The Financier shall be a joint insured party with you under the policy.  Save as otherwise appears, the obligations of you and the Financier shall be joint and several.

     

    Paragraph 3  Claims Nomination

    The Financier may nominate itself in writing to be the sole party which may submit, compromise or reach settlement of claims with us.  Otherwise the submission, compromise and settlement of claims will remain your responsibility and the Financier shall be bound by any compromise or settlement reached between you and us.

     

    Paragraph 4  Payment of Claims

    A   Payment of claims and any other sums payable by us shall be made to the Financier whose receipt shall be a full and final discharge to us for any and all liability to you or the Financier for the amounts due.

     

    B   More than one Financier - Where there is one or more effective nomination of some of the moneys payable under the policy, whether by issue of a Trade Finance Endorsement or otherwise, we will not make payment until after the determination of the respective entitlements of the parties concerned by agreement or otherwise.

     

    Paragraph 5   Policy Administration

    You, not the Financier, will have the right and the obligation to administer the policy (including paying premiums, making all applications and declarations and giving notices there under) and we shall send all notices and any other policy correspondence to you alone.  Claims will be submitted by you unless the Financier has made a nomination under paragraph 3 above, in which case we will correspond with the Financier in relation to such claim(s).  The Financier shall receive copies of Schedule 1.

     

    Paragraph 6   Changes to terms of policy

    You may not negotiate with us a change to the policy without the consent of the Financier (other than in respect of Credit limits).

     

    Paragraph 7   Interpretation of Endorsement

    The stipulations and provisions of the Policy shall apply in full to this Endorsement unless they conflict, in which case the Endorsement shall prevail.

     

     

    10.分开的信用额度

    对下列不同公司签署的贸易合同, 须分开申请信用额度并提供相应的保单序号。

    In respect of contracts made by each of the following Companies, credit limit applications should be made using the corresponding Policy number.

    11.现有信用额度的接管

    保险人同意从接管当日起接管由之前的保险人批复的现有的有效信用额度,直至保险人其自身批复了关于这些额度的最终信用额度,并且保险人同意在3个月内对其进行信用评估。信用额度接管协议中不包括在保险人与被保险人商议保险合同过程中,保险人已拒绝承保的那些买方。

    若在审核被保险人的买方信用额度申请的过程中,保险人对个别案例不准备批复与之前的保险人相同的额度,保险人须就此额度做出解释并与被保险人商议。同时,保险人应努力寻求一个双方均能接受的解决方案。

    保险人同样同意承保在保单期限开始当日已存在的合同项下的应收款,然而超过被保险人保单项下最高延长期的那些逾期款项除外。

     

    TAKE-OVER OF EXISTING CREDIT LIMITS

    We agree to take over the existing valid credit limits agreed by the previous insurer as at the date of take-over until we have issued our final decisions in relation to those limits, and to carry out our own credit assessment within three months.  Buyers whom we have declined to cover at the indication stage are excluded from the agreement on take-over of credit limits.

     

    If in the course of examining credit limit applications for your buyers, we are not prepared in individual cases to underwrite the limit agreed by the previous insurer, we will explain this decision in discussion with you.  At the same time we shall try to arrive at a mutually acceptable solution.

     

    We agree also to cover amounts owing under contracts in existence on commencement of the policy period, except where those amounts are overdue beyond the Maximum Extension Period under your policy.

     

     

    12.担保

    若应收款由银行全部担保,则本保单不适用于此类应收款。

    若保险人要求被保险人取得银行担保,且保险人将此作为批复信用额度的条件,则本保单的条款将完全适用。

    若应收款由银行部分担保,然而保险人未将此要求作为批复信用额度的条件,则本保单在以下附加条款下适用:

    1. 保险人计算被保险人的损失时,损失金额为买方应收款减去

    i) 被保险人或买方有权用付款、抵消、反索赔、扣减或其他方式在定损日借记买方账户的任何金额,

    ii) 被保险人节省的任何费用,以及

    iii) 银行担保的收益(此收益被独立地分配到被保险人的账户,且在保险人计算保险人损失时抵消其损失金额)。

    收到的所有其他金额应根据合同条款分配。

    2. 被保险人必须向保险人申报超过银行担保的那部分应收款。

    若合同由银行部分担保,则为使本保单补充条款适用,被保险人必须将此银行担保的存在告知保险人。

     

    SECURITIES VARIATION

    In cases where the outstanding balance is wholly secured by &VARIA1& the Policy shall not apply to such outstanding balances.

     

    In cases where we have required, as a condition of the credit limit, that you obtain &VARIA2&, the provisions of the Policy will apply in full.

     

    In cases where the outstanding balance is partly secured &VARIA3&, but where we have not required this as a condition of the Credit Limit from us, the Policy shall apply with the following additional provisions:

     

    1. We will calculate the amount of your loss as being the amount owing from the buyer less: -

     

    i) any amount which at the date of ascertainment of loss, you or the buyer are entitled to credit to the buyer's account whether by way of payment, set-off, counterclaim, deduction or otherwise,

    ii) any expenses you have saved and

    iii) the proceeds of the VARIA4 (which shall be allocated separately to your account and will reduce the amount on which we will calculate your loss.

    All other amounts received will be allocated in accordance with the terms of the Policy.

     

    2. You must declare to us only that part of the outstanding balances which are in excess of the &VARIA5&.

     

    In cases where the contract is partly secured by &VARIA6& you must have informed us about the existence of such &VARIA7& for this variation to the Policy to apply.

     

     

    13.过期债务的通知

    被保险人无需通知保险人金额小于人民币*****元的过期债务。若债务在最高延长期截止之后未偿清,保险人将继续对已发送货物或已向买方开具发票的服务进行承保。然而,虽然有本补充条款的规定,被保险人仍有义务通知保险人任何可能导致损失发生的情况。

     

    NOTIFICATION OF OVERDUE AMOUNTS VARIATION

    You are not required to notify us of overdue amounts where the value of

    the debt is less than CNY *****. Where the amount is overdue at expiry

    of the Maximum Extension Period, Cover shall continue for goods dispatched

    and in the case of services, invoices submitted to the buyer. However, the

    requirement to notify us of the occurrence of any event likely to cause a loss remains unaffected by this variation.

     

     

    14.指定买方的排除

    本保单不适用于&VARI001与订立的合同。

     

    EXCLUSION OF SPECIFIED BUYERS

    The Policy shall not apply to contracts made with &VARI001

     

     

    15.包含增值税的承保

    本保险合同承保的贸易合同的金额包含增值税。因此,业务申报须包含增值税。计算损失时买方未付款项均应含增值税部分。被保险人须采取应有措施保证政府退还与损失相关的增值税. 退还的增值税中属于保险合同项下的回款应从速归还保险人。

     

    INCLUSION OF VAT

    The policy shall apply to the amount in any contract which relates to VAT. Declarations should therefore include VAT.

     

    When calculating yours loss, we shall include any amounts owing to you from the buyer which relates to VAT.

     

    You must take every step to ensure that VAT in respect of the loss is recovered form your government. Any VAT reclaimed shall be treated as a Recovery under the policy and must be remitted to us immediately.

     

     

    16.对保单项下的特定销售合同提高最大保险责任

    针对被保险人与********有限公司签订的买方号码为********的销售合同,保险人将在合同期限内给予最大的保险责任,为******** 元。

     

    INCREASED IML FOR SPECIFIED CONTRACTS

    In respect of contracts made with ******(Buyer Name), buyer number ********, the maximum amount we shall be liable to pay in respect of all such contracts for which our liability commences during the Policy Period shall be CNY ******.

     

     

    17.信用前风险(承保在发货前或为服务开具发票前发生的损失)

    第一条    承保的损失

    在此补充条款下,保险人同意按承保比例承担被保险人在信用前风险承保期内由于买方破产而产生的任何损失。 

       

    第二条    信用前风险的承保期

    承保的开始

    A. 承保开始于货物开始生产的日期或提供服务的日期,这些日期在与买方签订的合同中有规定。被保险人必须能够以保险人满意的方式使其得知每一份合同所规定的准确的货物开始生产日期或服务提供日期。

    信用前风险的承保期

    B. 被保险人继续承保直至发货(或者,直至所提供服务的每一张发票均已开给买方)。

    最长承保期

    C. 不论如何,在货物开始生产日期(或者,针对服务,提供未开具发票的服务的最长期限为6个月)的6个月后承保停止,或者在合同订立日期的6个月后承保停止,以最短的期限为准。

     

    第三条    索赔和追回款

    申报期限

    A. 有关未发货物或未开具发票服务的索赔,被保险人必须在致损事件发生后的6个月内提出申请。    

    损失的计算

    B. 保险人计算有关未发货物(或未开具发票服务)的损失时,损失金额为被保险人在设计、生产和提供这些货物或服务的过程中产生的所有成本和费用。其中包括被保险人为履行合同义务而必须支付的任何其他款项,只要该款项与这些货物有关。本保单项下的保费成本不计算在内。保险人在计算损失时将扣除指定减除额以及被保险人已从其它渠道,例如货物或材料的二次销售,追回的任何其他款项。

    受限于合同金额

    C. 若合同被全部履行,保险人支付的金额不超过买方应为这些货物或服务支付的金额。

    受限于信用额度

    D. 被保险人支付的金额(在此补充条款和本保单项下)不超过买方信用额度的担保比例。

    追回款

     E. 关于信用前风险的索赔,保险人持有的金额不得高于其支付的金额。

     

    第四条    申报和保费

    在发货日申报

    A. 被保险人向保险人申报时需列明在申报单指定的期限内所发送货物或开具发票服务的价值。

    补充申报

    B. 当买方在发货(开具发票)之前破产,被保险人必须向保险人补充申报自破产日起,已生产但未发送的货物的总价值以及已提供但未向买方开具发票的服务的总价值。此申报必须在本保单最近生效日的6个月内提出。

     

    C. 在本保单未续签或本保单被终止的情况下,被保险人必须向保险人补充申报自本保单最近的生效日起,已生产但未发送的货物的总价值以及已提供但未向买方开具发票的服务的总价值。此申报必须在本保单最近生效日的6个月内提出。

     

    第五条    承保的取销

    自动取销

    A. 若买方在最高延长期的失效日有任何逾期款项,本保单不适用于在该日期之后与该买方所订立的合同。

    保险人取消承保

    B. 当保险人以书面通知形式取消承保与一特定买方订立的任何合同,本保单不适用于在通知指定的日期当天或之后所订立的合同。在该指定日,若货物未发送(或服务未开具发票),保险人保留取消承保这些货物或服务的权利。然而,若保险人行使该权利,保险人应假定该买方在该指定日的六个月后已破产,并确定关于这些货物或服务的损失。

    未续签或终止

    C. 在本保单未续签或本保单被终止的情况下,保险人在本保单最近的生效日停止承保关于任何未履行合同以及任何未发货物(或未开具发票服务)的信用前风险,并且保险人对在该日期之后发生的破产不承担责任。

     

    第六条    补充条款的解释

    保险合同的其他条款和规定适用于本补充条款,但任何与本补充条款矛盾之处,以本补充条款为准。

     

    PRE-CREDIT RISK ENDORSEMENT (Covering losses prior to despatch of goods or Invoicing of services)

    Paragraph 1     Losses Covered

     

    Under this Endorsement, we agree to pay you the covered Percentage of any loss you may sustain because of the Insolvency of a buyer during the Period of Pre-Credit Risk Cover.  

           

    Paragraph 2     Period of Pre-Credit Risk Cover

     

    Commencement of Cover   A.  Cover shall commence on the date when the manufacture of the goods starts or services are performed according to a contract with the buyer. You must to our satisfaction be able to show the exact start date for the manufacture of the goods or performance of services according to each contract.   

     

    Period of Pre-Credit Risk Cover B.  Cover shall continue until goods are despatched (or, in the case of services, until each invoice for services performed is submitted to the buyer).

     

    Maximum Period of Cover C.  In any event, cover shall cease 6 months after the date when the manufacture of the goods commenced (or, in the case of services the maximum period of services performed without submitting an invoice is 6 month) or cover shall cease 6 months after the date when the contract is made, whichever is the soonest.

     

    Paragraph 3     Claims & Recoveries

     

    Period for Submission   A.  Claims in relation to goods not despatched or services not invoiced must be made within 6 months of the occurrence of the event causing the loss.   

     

    Calculation of Loss     B.  We shall calculate your loss for goods which have not yet been despatched (or for services not yet invoiced) as being all costs and expenses you incur for the design, manufacture and supply of those goods or services. This includes any other sums you have to pay in respect of obligations undertaken for the purposes of the contract insofar as they relate to those goods or services. Premium costs under the policy are not included. Specified Deductions and any other sums which you have recovered from any source, for example, by the resale of goods or materials, will be deducted when we calculate the loss.

                                                                       

    Limitation by Contract Value    C.  We shall not be liable to pay more than the amount which would have been payable by the buyer in relation to those goods or services if the contract had been fully performed.                      

                                       

    Limitation by Credit Limit  D.  We shall not be liable to pay (under both this Endorsement and the policy) more than the Guaranteed Percentage of the Credit Limit for the buyer.

     

     

    Recoveries  E.  In respect of a Pre-Credit Risk claim we shall not be entitled to retain a greater sum than the amount we may pay.

     

    Paragraph 4     Declarations and Premium

     

    Declarations at Date of Despatch    A.  Your declarations to us will relate to the value of goods despatched or services invoiced during the period shown in the declaration form.

     

    Supplementary Declarations      B.  In the event of the Insolvency of a buyer prior to the despatch of goods (or submission of invoices), you must submit to us a supplemental declaration showing the total value of goods manufactured but not yet dispatched and the services performed but not yet invoiced and submitted to the buyer as at the date of the insolvency. This supplemental declaration must be submitted within 6 months of the date of the Insolvency.

     

    C. In the event that the policy is not renewed or is terminated, you must submit a supplementary declaration showing the total value of goods manufactured but not yet dispatched and the services performed but not yet invoiced and submitted to the buyer as at the last effective date of the policy. This declaration must be submitted within 6 months of the last effective date of the policy.

     

    Paragraph 5         Withdrawal of Cover

     

    Automatic Withdrawal                A.  If payment of any amount is overdue from a buyer at the date of expiry of the Maximum Extension Period, the policy will not apply to contracts made with that buyer after that date.

     

    Withdrawal by Us                    B.  Where we withdraw cover by written notice in respect of any contract made with a particular buyer, the policy will not apply to contracts made on or after the date specified in the notice. Where, at the date specified, goods have not yet been despatched (or in the case of services, invoices have not yet been submitted), we reserve the right to withdraw cover also in respect of those goods or services. However, if we exercise this right we shall ascertain loss in relation to such goods or services as if the buyer had become insolvent six months after the date specified.

     

    Non-Renewal or Termination      C.  In the event that the policy is not renewed or is terminated, Pre-Credit Risk Cover in respect of any outstanding contracts as well as any of goods not despatched (or, in the case of any services not invoiced) shall cease on the last effective date of the policy and we shall not be liable for any Insolvency occurring after that date.

     

    Paragraph 6     Interpretation of Endorsement

    The stipulations and provisions of the Policy shall apply in full to this

    Endorsement unless they conflict, in which case the Endorsement shall prevail.

     

     

    18.寄售库存补充条款 (国内贸易)

    第一条   承保的合同

    此项补充条款适用于有寄售库存形式的合同。

    第二条   保险责任的开始

    A.               如果当上述合同签订时,货物已在买方手中,则此合

    同的签署日即可视为货物被发送之日。

    B.               若货物是由被保险人或被保险人委托的“代理人“储存在仓库, 则在货物被转移给买方的时候,视为时货物被发送之日。

    C.                

    第三条                                         月度发票

    被保险人必须每月登记从仓库中被发送的货物价值,并以此为买方开具相关发票。

     

    第四条                                         货物的付款

    货物的付款必须直接支付给被保险人或者其代理机构。若付款直接支付给代理机构,则须遵循以下几点:

    扣除款项  A. 保险人有权扣除代理机构接受到的付款,借贷,抵消与反诉。

     

    30天法则 B. 保险人对在付款30天后所发生的任何损失不负责。

     

    第五条                                         未开具发票的货物

    任何由被保险人的代理人收到的买方的付款,都将视为是被保险人收到了付款。对于那些在买方破产之日已由买方提取,但仍未开具发票的货物,保险人只承保在破产判决中承认的买方应承担的债务。

     

    第六条                                         补充条款的解释

    保险合同的其他条款和规定适用于本补充条款,但任何与本补充条款矛盾之处,以本补充条款为准。

     

    GOOD SOLD FROM STOCK ENDORSEMENT

    Paragraph 1   Contracts Covered

    This Endorsement shall apply to contracts where goods have been previously held in stock.

     

    Paragraph 2   Commencement of Cover

    A   Where the goods are already in the possession of the buyer when the contract is made, despatch shall be deemed to be made on the date of contract.

     

    B   Where the goods are held in stock by you or by a person acting on your behalf (the "Agent"), despatch shall be deemed to be made when such persons part with possession of the goods for the purpose of transmitting them to the buyer.

     

    Paragraph 3   Monthly Invoice

    Each month you must establish the value of goods withdrawn from stock and invoice the buyer accordingly.

     

    Paragraph 4   Payment of Goods

    Payment of the goods must be made to you direct or to the Agent. Where payment is to be made to an Agent the following shall apply:

     

    Deductions  A We shall be entitled to deduct any amount which the Agent is entitled to take into account by way of payment, credit, set-off or counterclaim.

     

    30 Day Rule B We shall not be liable for any cause of loss occurring later than 30 days after such payment has been made.

     

    Paragraph 5   Goods Not Yet Invoiced

    In respect of goods which, at the date of an Insolvency, have been withdrawn from stock by the buyer but have not yet been invoiced, we shall only be liable to the extent that the amount is accepted in the insolvent estate of the buyer.

     

    Paragraph 6   Interpretation of Endorsement

    The stipulations and provisions of the policy shall apply in full to this Endorsement unless they conflict, in which case the Endorsement shall prevail.

     

     

    19.自主信用额度的附加条款

     

    第一条                  通过自主信用额度来确定信用额度

     

    自主信用额度            A. 被保险人可以根据资信报告或以往贸易经验确定一个自主信用度,但该信用额度不得超过保单明细表列明的最高自主信用额度。如果被保险人没有遵守与信用额度或本附加条款规定的条款条件,或者被保险人未在定损日之前确定信用额度,保险人将不为此承担任何赔偿责任。

    资信报告           B. 如果使用的是资信报告,则该资信报告应在货物出运前或(在提供服务的情况下)服务付款通知书提交前的12个月内从被保险人所在国独立的信用评估机构或银行获得。该资信报告应能够强有力地支持被保险人期望确定的信用额度。

     

      贸易经验        C. 被保险人在通过与买方的贸易经验来确定自主信用额度时,该信用额度可以超出付款条件下最高应付帐款金额(不包括现金预付款或有担保的应付帐款)的百分之五十。在货物发送前或(在提供服务的情况下)服务付款通知书提交前的12个月内,该应付帐款均已在最大延长期届满之日或之前全部付清。但是,使用自主信用额度与买方进行交易时,该付款条件与此前的12个月相比,不能更有利于买方,或是对被保险人的安全性更低。

     

    保险人决定取代信用额度   D. 保险人授予的任何信用额度(包括零信用额度)将取代被保险人对于同一买方而确定的自主信用额度。

     

    第二条  补充条款的解释

    保险合同的其他条款和规定适用于本补充条款,但任何与本补充条款矛盾之处,以本补充条款为准。

     

    CHINA DISCRETIONARY LIMIT ENDORSEMENT

    Paragraph 1                 Establishing a Credit Limit via a Discretionary Limit 

                               

     

    Discretionary Credit Limit  A.   You may justify a Discretionary Credit Limit yourself using, credit reports or trading experience as set out below, but the amount justified must not exceed the Maximum Discretionary Limit specified in Schedule. We shall not be liable for any loss where you have not complied with the terms and conditions of the Credit Limit or this Endorsement or where you have not established a Credit Limit before the date of ascertainment of loss.

     

    Credit Reports            B.   Where a credit report is used, it must be obtained from an independent credit agency or bank in your country during the 12 months preceding the despatch of goods or (in the case of services) the submission of the invoice and it must positively recommend the amount you wish to justify.

     

    Trading Experience       C.  Using your own trading experience with the buyer you may justify a Discretionary Credit Limit of 50% more than the highest amount (excluding any amount payable on cash in advance or secured terms) which has at any time been owed to you by the buyer on credit terms. Such amount must have been paid on or before the expiry of the Maximum Extension Period during the 12 months preceding the despatch of goods or (in the case of services) the submission of the invoice. However, the credit terms on which you trade under such Credit Limit must not be more favourable to the buyer or less secure than those on which you traded with the buyer during the previous 12 months.

                               

    Overriding Credit Limit     D.  Any Credit Limit from Us (including a nil Credit Limit) shall override any Discretionary Credit Limit you may justify on the same buyer.

    20.最低理赔额条款

    第一条  应赔损失

    除非因一家买方引起的损失等于或超过最低理赔额,否则我们将不予赔偿。

     

    第二条  定义

    最低理赔额   “最低理赔额”指的是保单条款第4条B中指明的在保险责任开始日有效的保单明细表上所示的数额。

     

    损失       “ 损失”指的是所有被保险人与一家买方有关的累计损失,无论保险合同何时生效。

     

    第三条  成本和费用的认定

    我们将根据我们应承担责任的比例支付等于或超过人民币 2,500 与损失有关的成本和费用。

     

    第四条  附加条款的解释

    保单的其他条款和规定适用于本附加条款,但任何与本附加条款矛盾之处,以本附加条款为准。

     

    THRESHOLD ENDORSEMENT

    Paragraph 1   Losses Payable

     

    We shall not be liable to pay you for a loss sustained in relation to a buyer unless that Loss equals or exceeds the amount of the Threshold.

     

    Paragraph 2   Definitions

     

    Threshold

    A.     “Threshold” means the amount shown on the Schedule effective at the date risk commenced under Article 6 of your Policy.

    Loss

    B.     “Loss” means the cumulative total of your losses in relation to a buyer irrespective of when cover commenced.

     

    Paragraph 3   Qualifying Costs and Expenses

     

    We will only contribute towards your costs and expenses in respect of a Loss where our contribution, proportionate to our liability, amounts to 2,500 CNY or more.

     

    Paragraph 4   Interpretation of Endorsement

     

    The stipulations of and provisions of the rest of the Policy shall apply in full to this Endorsement unless they conflict, in which case the Endorsement shall prevail.

     

     

    21.单一买方最初损失部分

    第一条 应赔损失额

    保险人将从被保险人的损失中先扣除此单一买方最初损失,再按承保的比例进行赔付。当被保险人的损失超过此单一买方的信用额度时, 保险人将先从此单一买方的信用额中扣除此单一买方最初损失,再按承保的比例进行赔付。

     

    第二条 定义

    单一买方最初损失

    A. "单一买方最初损失" 指的是损失确定日有效的保单明细表所示的

    数额。

     

    损失

    B. "损失" 指的是被保险人所有与此单一买方相关的累计损失,无论风险的承保何时开始。

     

    第三条 成本和费用的认定

    保险人将按保险人应承担责任的比例支付等于或超过2000 元人民币的与每一损失相关的成本和费用。

     

    第四条 补充条款的解释

    保险合同的其他条款和规定适用于本补充条款,但任何与本补充条款矛盾之处,以本补充条款为准。

     

    EACH & EVERY FIRST LOSS ENDORSEMENT

    Paragraph 1 Amount of Losses Payable

    We will deduct the Each and Every First Loss from your loss and pay you the Guaranteed Percentage of the balance. Where your loss is greater than the value of the Credit Limit, we will deduct the Each and Every First Loss from that Credit Limit and pay you the Guaranteed Percentage of the balance.

     

    Paragraph 2 Definitions

    Each and Every First Loss

     A.  "Each and Every First Loss"    means the amount shown on the Schedule effective at the date of ascertainment of loss.

     

    Loss

    B.  "Loss"  means the cumulative total of your losses in relation to a buyer  irrespective of when cover commenced.

     

    Paragraph 3  Qualifying Costs and Expenses

    We will only contribute towards your costs and expenses in respect of a Loss where our contribution, proportionate to our liability, amounts to 2,000 CNY or more.

     

    Paragraph 4  Interpretation of Endorsement

    The stipulations and provisions of the policy shall apply in full to this Endorsement unless they conflict, in which case the Endorsement shall prevail.

     

     

    22.累计最初损失部分条款

    第一条 理 赔

    超过累计最初损失部分               

    保险人仅对保险年度发生的超过累计最初损失部分所有损失的承保比例进行赔付。

     

    理赔审查        

    如果被保险人的所有按承保比例计算的损失未超过累计最初损失部分,保险人将进行审查;如果单一理赔额低于无需认定的损失,此单一理赔额不计入累计最初损失部分;如果单一理赔额高于无需认定的损失,保险人将对此单一理赔额进行审核并确认。本附加条款中的“被保险人的损失”应是保险人审查并接受后核算的数额且不包括那些无需认定的损失。

     

    第二条 追偿款

    可保留的追偿款             

    当被保险人的所有按承保比例计算的损失低于累计最初损失部分的损失,被保险人可以保留追偿款,被保险人的损失数额将相应减少。被保险人必须立即通知保险人任何有关的追偿款。

     

    应被转移的追付款                   

    然而,一旦被保险人的按承保比例计算的损失超过累计最初损失部分的损失,按承保比例计算的所有追偿款必须转移给保险人。保险人将保留该部分金额直到保险人全部收回已赔付的金额。

     

    第三条 成本和费用

    保险人将根据保险人应承担责任的比例支付等于或超过 1,000的与损失有关的成本和费用。

     

    第四条 定义

    与保险期间有关的损失               

    “与保险期间有关的损失”指的是在保险期间根据保险合同保险人应承担责任的损失。

     

    累计最初损失部分       

    “累计最初损失部分”和“无需认定的损失”指的是保险明细中相应列明的数额。

     

    第五条 补充条款的解释

    保险合同的其他条款和规定适用于本补充条款,但任何与本补充条款矛盾之处,以本补充条款为准。

     

    AGGREGATE FIRST LOSS ENDORSEMENT

    Paragraph 1 Claims

    Exceeding the Aggregate First loss A. We shall only make payment of claims to the extent that the Covered Percentage of the aggregate of all your losses (which relate to a Policy Period) exceeds the Aggregate First Loss.

     

    Examination of Claims  B. We will still examine claims where the Covered Percentage of your aggregate losses does not exceed the Aggregate First Loss, except claims in relation to individual losses of less than the Non-Qualifying Loss.  The term ''your losses'' in this Endorsement shall be calculated as being the amounts examined and accepted by us, but shall not include those losses which are less than the Non-Qualifying Loss.

     

    Paragraph 2 Recoveries

    Recoveries which may be retained A. While the Covered Percentage of the aggregate of all your losses is less than the Aggregate First Loss, you may retain Recoveries, and your losses will be reduced accordingly.  You must notify us promptly of any such Recoveries.

     

    Recoveries which must be remitted B. However, as soon as the Covered Percentage of your losses exceeds the Aggregate First loss, the Covered Percentage of all Recoveries must be remitted to us.  We shall retain this amount until we have fully recovered any payment we may make.

     

    Paragraph 3 Costs and Expenses

    We will only contribute towards your costs and expenses in respect of your losses where our contribution, proportionate to our liability, amounts to 1,000 or more.

     

    Paragraph 4 Definitions

    Losses relating to a Policy Period A. Losses ''which relate to a Policy Period'' shall mean losses under contracts for which our liability commences during that Policy Period.

     

    Aggregate First Loss B. ''Aggregate First Loss'' shall mean the amount shown on Schedule 1.

     

    Non-Qualifying loss C. ''Non-Qualifying Loss'' shall mean the amount shown in Schedule 1.

     

    Paragraph 5 Interpretation of Endorsement

    The stipulations and provisions of the policy shall apply in full to this Endorsement unless they conflict, in which case the Endorsement shall prevail.

     

     

    23.信用保险基准线补充条款

    第一条   基准线

    本保险合同只承保被保险人与单一买方所签订的符合如下条件的销售合同,即在此销售合同项下,被保险人需与此单一买方在保险合同期限内,或早于此期限的十二个月内有达到或超过基准线上的应收帐款。

     

    第二条   书面信用额度

    被保险人必须从保险人处得到在本保单项下所承保的针对每一个买方的书面信用额度批单。且对此单一买方批复的信用额度必须达到或超过基准线。

     

    第三条   增加新买方

    信用额度申请   A.无论何时,在本保单有效期内如果被保险人对一个新的买方有达到或超过基准线的应收帐款时,被保险人必须立即申请一个针对此新买方的书面信用额度批单。

     

    增加一个新买方 B. 当申请的信用额度被批准后,此买方在申请额度当日或之后发送的货物(或为服务开立的发票)将被添加到保险合同承保的销售额中去。保险合同也同样承保在申请信用额度当日针对此买方已产生的应收帐款,但不包括那些在当天属于最高延长期到期日之后的逾期欠款。

     

    申报  C. 在信用额度申请日之前发送的货物(或为服务开立的发票)所产生的保单项下承保的相关应收款必须添加到下个月的申报中。

     

    第四条   旧买方的删除

    删除    A. 如果某一买方的应收款在保单期限前的十二个月内没有超过基准线,保险合同将不承保在本保单生效之日或之后发送给该买方的货物(或为服务开立的发票)。

     

    重新申请承保    B. 但是,如果被保险人在此之后与该买方的应收款达到或超过基准线,被保险人必须重新申请承保此买方。

     

    第五条   定义

    基准线  A. “基准线”是指保单明细表中指明的数额。

     

    DATUM LINE ENDORSEMENT TO COMMERCIAL RISKS POLICY

    Paragraph 1   The Datum Line

    The policy shall only apply to contracts made with a buyer where you have had an Amount Outstanding during the Policy Period, or the twelve months preceding this period, which equals or exceeds the Datum line.

     

    Paragraph 2   Written Credit Limits

    You must obtain a Credit limit in writing from us for every buyer to which the policy applies.  The value of the Credit limit must equal or exceed the Datum Line.

     

    Paragraph 3   Adding New Buyers

    Credit Limit Application A  If at any time during the Policy Period you have an Amount Outstanding with an additional buyer which equals or exceeds the Datum Line, you must immediately apply for a written Credit Limit on that buyer.

     

    Addition of a Buyer B   On approval of the Credit Limit, the buyer shall be added to the policy in respect of goods delivered (or services invoiced) on or after the date of application. The policy shall also apply to all amounts outstanding with the buyer at the date of application, but shall not include any amount which is overdue beyond the expiry of the Maximum Extension Period at that date.

     

    Declarations    C   In respect of goods delivered (or services invoiced) prior to the date of application, the relevant amount must be added to the next monthly declaration.

     

    Paragraph 4   Removal of Old Buyers

    Removal A   If the amount Outstanding with a particular buyer fails to exceed the Datum Line during the twelve months preceding a Policy Period, the policy shall not apply to goods delivered (or services invoiced) to that buyer on or after the commencement of that Policy Period.

     

    Reapplying for Cover B  However, if you have an Amount Outstanding with that buyer at a later date which equals or exceeds the Datum line, you must reapply for cover.
